Dan Boothe, P.E., Inc. Consulting Engineer Gahanna, Ohio This Engineering Agreement entered into at Dublin, Ohio, this G-I-1~/ day of t:~{~__, 1987, by and between the Village of Dublin, acting through t e Vill)(e Manager pursuant to and under Authority of Ordinance Number I - K~, passed by Village Council on ~J__,_, 1987, hereinafter referre to as the "VILLAGE", and F. Dan Boothe, P.E., Inc., a professional corporation duly licensed and existing under the laws of the state of ohio for the practice of engineering, hereinafter referred to as the "ENGINEER", with offices located at 315 Warlock Court, Gahanna, ohio. hT1.TNES_~ETH THAT, WHEREAS, the VILLAGE has determined to enter into a contract with the ENGINEER, and that the VILLAGE and the ENGINEER, for the mutual considerations herein contained and specified have agreed and do hereby agree as follows: SECTION I - ENGINEER'S SERVICES The ENGINEER shall, as ordered by the Village Manager perform engineering services as follmvs: A. Preliminary Tasks (predesign) 1. Coordinate soils and subsurface evaluation of site conditions. Provide soils borings and recommended design criteria by licensed soils engineer. Provide preliminary foundation design based on boring results. 2. Advise VILLAGE as to the necessity of its providing or obtaining from others data or services and act as VILLAGE representa- tives in connection with any such services. 3. Coordinate survey of the proposed site for topographic mapping. Provide site sheet for design documents. Locate soils boring locations in the field. B. Provide final designs after Written Authorization to Proceed consisting of the following services. 1. On the basis of the accepted preliminary design documents prepare for incorporation in the Contract Documents final drawings to show the character and scope of the work to be performed by contractors on the Projects (hereinafter called "Drawings") and Specifications. 2. Furnish to VILLAGE such documents and design data as may be required for, and assist in the preparation of, the required documents, so that VILLAGE may obtain approvals of such governmental authorities as have jurisdiction over design criteria applicable to the Project, and assist in obtaining such approvals by participating in submissions to and negotiations with appro- priate authorities. 3. Advise VILLAGE of any adjustments to his latest opinion of probable Project Cost caused by changes in scope, design requirements or Con- struction Costs and furnish a revised opinion of probable Project Cost based on the Drawings and Specifications. 4. Prepare Bid Forms, Notice to Bidders, Instruc- tions to Bidders, general conditions and supplementary conditions, and assist in the preparation of other related documents. 5. Furnish five copies of the above documents and present and review them in person with VILLAGE. F. Provide bidding or negotiating assistance as follows: 1. Assist VILLAGE in obtaining bids or negotiating proposals for each separate prime contract for construction or equipment. 2. Consult with and advise VILLAGE as to the acceptability of subcontractors and other persons and organizations proposed by the prime contractor(s) (hereinafter called "Contractor(s)") for those portions of the work as to which such acceptability 1S required by the Contract Documents. 3. Consult with and advise VILLAGE as to the ac- ceptability of substitute materials and equip- ment proposed by Contractor(s) when substitution is permitted by the Contract Documents. 2 4. Assist VILLAGE in evaluating bids or proposals and in assembling and awarding contracts. D. Provide construction services as follows: l. Consult with and advise VILLAGE and act as its representative as provided in Articles 1 through 17, inclusive, of the Standard General Conditions of the Construction Contract, National Society of Professional Engineers Document 1910-8, 1974 Edition; all of Village's instructions to Contractor(s) will be issued through ENGINEER who will have authority to act as VILLAGE's professional engineering representative during construction. 2. Make periodic visits to the site to observe as an experienced and qualified design professional the progress and quality of the executed work and to determine in general if the work is proceeding in accordance with the Contract Documents; ENGINEER shall not be required to make exhaustive or con- tinuous on-site inspections to check the quality or quantity of work; he shall not be responsible for the means, methods, techniques, sequences or procedures of construction selected by Contractor(s) or the safety precautions and programs incident to the work of Contractor(s). His efforts will be directed toward providing assurance for VILLAGE that the completed Project will conform to the Contract Documents, but he shall not be responsi- ble for the failure of Contractor(s) to perform the construction work in accordance with the Contract Documents. During such visits on the basis of his on-site observations, he shall keep VILLAGE informed of the progress of the work, shall endeavor to guard VILLAGE against defects and deficiencies in the work of Contractor(s) and may disapprove or reject work as failing to conform to the Contract Documents. 3. Review and approve Shop Drawings (as that term is defined in the aforesaid Standard General Conditions) and samples, the results of tests and inspections and other data which any Con- tractor is required to submit, but only for conformance with the design concept of the Pro- ject and compliance with the information given in the Contract Documents; determine the ac- ceptability of substitute materials and equipment proposed by Contractor(s); and receive and re- view (for general content as required by the 3 Specifications) maintenance and operating 1n- structions, schedules, guarantees, bonds and certificates of inspection which are to be assembled by Contractor(s) in accordance with the Contract Documents. 4. Issue all instructions of VILLAGE to Contractor(s); prepare routine change orders as required; he may, as VILLAGE's representative, require special 1n- spection or testing of the work; he shall act as interpreter of the requirements of the Contract Documents and judge of the performance thereunder by the parties thereto and shall make decisions on all claims of VILLAGE and Contractor(s) relating to the execution and progress of the work and all other matters and questions related thereto; but ENGINEER shall not be liable for the results of any such interpretations or decisions rendered by him in good faith. 5. Based on his on-site observations as an experienced and qualified design professional and on his reV1ew of Contractor(s) applications for payment and the accompanying data and schedules, determine the amounts owing to Contractor(s) and approve in writing payments to Contractor(s) in such amounts; such approvals of payment will constitute a represen..,.. tation to VILLAGE based on such observations and re- vie,v, that the work has progressed to the point indi- cated and that, to the best of his knowledge, infor- mation and belief, the quality of the work is in accordance with the Contract Documents (subject to an evaluation of the work as a functioning Project upon Substantial Completion, to the results of any subsequent tests called for in the Contract Documents, and to any qualifications stated in his approval), but by approving an application for payment ENGINEER will not be deemed to have represented that he has made any examination to determine how or for what purposes any Contractor has used the moneys paid on account of the Contract Price, or that title to any of Contractor(s) I work, materials or equipment has passed to VILLAGE free and clear of any lien, claims, security interest or encumbrances. 6. Conduct an inspection to determine if the Project 1S substantially complete and a final inspection to determine if the Project has been completed in accordance with the Contract Documents and if each Contractor has fulfilled all of his obligations thereunder so that ENGINEER may approve, in writing, final payment to each Contractor. 4 7. ENGINEER shall not be responsible for the acts or omission of any Contractor, any subcontractor or any of the Contractor(s) I or subcontractors' agents or employees or any other persons (except his own employees and agents) at the Project site or otherwise performing any of the work of the Project. E. Normal and customary engineering services do not include services in respect of the following categories of work which are usually referred to as Additional Services. If VILLAGE wishes ENGINEER to perform any Additional Services, he shall so instruct ENGINEER in writing, and ENGINEER will be paid the per diem rate set forth in Clause III herein. Additional Services include: 1. Preparation of applications and supporting documents for governmental financial support of the Project; and preparation or review of environmental studies and related services. 2. Services to make measured drawings of or to in- vestigate existing conditions or facilities. 3. Major changes in documentation previously ac- cepted by VILLAGE where changes are due to causes beyond ENGINEER's control. 4. Providing renderings or models. 5. Preparing documents for alternate bids requested by VILLAGE for work which is not executed or for out,of-sequence work. 6. Detailed considerations of operations, mainte- nance and overhead expenses; and the preparation of rate schedules earnings and expense statements, feasibility studies, appraisals and valuations. 7. Furnishing the services of special consultants. 8. Services resulting from the involvement of more than one prime contract for construction of the Project, or the construction contract containing cost-plus or incentive-savings provisions for Contractor's basic compensation. 9. Services in connection with change orders to reflect major changes requested by VILLAGE and serVlces resulting from material, equipment or energy shortages. 5 . 10. Services during out-of-town travel other than visits to the Project site. 11. Preparing for VILLAGE on request, a set of re- producible record prints based on data furnished by Contractor(s) other than stated herein. 12. Additional or extended services during construc- tion made necessary by ( 1 ) work damaged by fire or other cause during construction, ( 2 ) a signi- ficant amount of defective or neglected work of or default by any Contractor, and ( 3 ) prolonga- tion of the contract time. 13. Preparation of operating and maintenance manuals; extensive assistance in the utilization or start up; and training VILLAGE personnel. 14. Services after completion of the Construction Phase. 15. Preparing to serve or serving as a consultant or witness in any legal or administrative proceeding or public hearing. 16. Providing services normally furnished by VILLAGE. 17. If the parties agree, ENGINEER shall provide resident Project representation under ENGINEER's supervision which will be paid for by VILLAGE as indicated in Clause III and which will be intended to give VILLAGE further assurance in respect of the finished work of Contractor(s), but will not involve ENGINEER in the construction means, methods, techniques, sequences, or procedures or safety precautions or programs nor provide to VILLAGE any guarantee by ENGINEER of the accuracy, quality or timeliness of Contractor(s) performance. I. Provide engineering management services for projects of a general civil nature. Engineering firms shall be hired by the VILLAGE with assistance from the ENGINEER for large scope projects as such technical expertise is determined appropriate by the ENGINEER. SECTION II - VILLAGE'S RESPONSIBILITIES A. VILLAGE shall designate a person to act with authority on its behalf in respect of all aspects, shall examine and respond promptly to ENGINEER's submissions, and shall give prompt written notice to ENGINEER whenever he observes or otherwise becomes aware of any defect in any Projects. 6 B. VILLAGE shall also do the following and pay all costs incident thereto: 1 . Furnish to ENGINEER core borings, probings and subsurface explorations, hydrographic surveys, laboratory tests and inspections or samples, materials and equipment and similar data; appro- priate professional interpretations of all of the foregoing; property, boundary, easement, right-of- way, topographic and utility surveys and property descriptions; zoning and deed restrictions; all of which ENGINEER may rely upon in performing his services except as specifically mentioned in Section I above. 2. Guarantee access to and make all provisions for ENGINEER to enter upon public and private property. 3. Provide such legal, accounting, independent cost estimating and insurance counseling services as may be required in respect of Contractor(s) applications for payment. 4. Furnish approvals and permits from all governmental authorities having jurisdiction over Projects. 5. VILLAGE shall pay all costs incident to obtaining bids or proposals from Contractor(s). SECTION III - COMPENSATION The VILLAGE agrees to pay ENGINEER in accordance with the appro- priate fee schedule set forth below based on the award contract amount for each project or on the ENGINEER's opinion of probable construction cost if the project is not bid within ninety (90) days of detail plan completion. A. Total Project engineering fees including preliminary tasks such as soils investigations and surveying, construction meetings, construction visits of at least three per month for 12 months plus final completion certification, approving monthly esti- mates, and concrete cylinder testing by independent laboratory. 1.0 million gallon tank - 5.3% of contract award amount 1.5 million gallon tank - 4.4% of contract award amount 2.0 million gallon tank - 3.8% of contract award amount 7 If detail design is not authorized in writing to proceed, preliminary tasks completed shall be paid as follows: Subcontract.amount plus 10% and actual engineering hours at $50.00 per hour. Fees schedule shall be paid according to the following schedule: Preliminary Task Completion - 25% of fee Design Completion - 51% of fee Construction - Monthly at 2% of total fee based on 12 months construction SECTION IV - GENERAL PROVISIONS A. TERMINATION If, through any cause, the ENGINEER fails to fulfill in a timely and proper manner its obligations under this Agreement, or if the ENGINEER violates any of the provisions or stipulations of this Agreement, VILLAGE shall have the right to terminate this Agreement by giving ten (10) days written notice to the ENGINEER of such termination. In such event, all finished or unfinished documents, data, studies, drawings, maps, models, photographs, and reports prepared by the ENGINEER under this Agreement shall, at the option of VILLAGE, become its property and the ENGINEER shall be entitled to receive just and equitable compensation for work completed relative to such documents. B. EQUAL EMPLOYMENT OPPORTQNITY In carrying out this Agreement, the ENGINEER shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. Such action shall inClude, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; selection for training, in- cluding apprenticeship; and participation in recreational and educational activities. The ENGINEER shall post in conspicuous places, available to employees and applicants for employment, notices to be provided by the Government setting forth the provisions of this nondiscrimination clause. The ENGINEER shall state that all qualified applicants will receive considera- tion for employment without regard to race, color, religion, sex, national origin, handicaps, or age (40-70). The ENGINEER shall incorporate the provisions of this Section in all sub- contracts for any work covered by this Agreement. 8 . . C. INTERESTS The ENGINEER, or any of its employees who exercise any functions or responsibilities with respect to this Agreement, shall not have any interest, direct or indirect, in any other contract or subcontract, or the proceeds thereof, for work to be performed in connection with this PROJECT. D. REUSE OF DOCUMENTS All documents including Drawings and Specifications furnished by ENGINEER pursuant to this Agreement are instruments of his services in respect of a specific Project. They are not intended or represented to be suitable for reuse by VILLAGE or others on extensions of the Project or on any other Project. Any reuse without specific written verification or adaptation by ENGINEER will be at VILLAGE's sole risk and without liability or legal exposure to ENGINEER, and VILLAGE SHALL indemnify and hold harm- less ENGINEER from all claims, damages, losses and expenses including attorneys' fees arising out of or resulting therefrom. Any such verification or adaptation will entitle ENGINEER to further compensation at rates to be agreed upon by VILLAGE and ENGINEER. E. ESTI~~TES OF COST Since ENGINEER has no control over the cost of labor, materials or equipment or over Contractor(s)' methods or deter- mining prices, or over competitive bidding or market conditions, his opinions of probable Project Cost Provided for herein are to be made on the basis of his experience and qualifications and represent his best judgement as a design professional familiar with the construction industry, but ENGINEER cannot and does not guarantee that proposals, bids or the Construction Costs will not vary from opinions or probable cost prepared by him. If prior to the Bidding or Negotiating Phase VILLAGE wishes greater assur- ance as to the Construction Cost he shall employ an independent cost estimator as provided in Clause II. Engineering services to modify the Contract Documents to bring the Construction Cost with- in any limitation established by VILLAGE will be considered Additional Services and paid for as such by VILLAGE. F. SUCCESSORS AND ASSIGNS VILLAGE and ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to the partners, successors, executors, administrators and assigns of such other party, in respect to all covenants of this Agreement; except as above, neither VILLAGE nor ENGINEER shall assign, sublet or transfer his interest in this Agreement without the. written consent of the other. Nothing here- in shall be construed as creating any personal liability on the part of any officer or agent of any public body which may be a party hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other than VILLAGE and ENGINEER. 9 . . Please note that the proposal includes soil borings, surveying, etc. I strongly believe that Council should proceed with this Project as soon as possible and I am personally convinced that this Park location is as ideal as any that could be found. As dis- cussed earlier, professional services are not subject to bidding requirements and would cause a substantial delay in this urgent project. The Agreement submitted herein is a comprehensive one including soils borings and surveying which can proceed while discussions ensue about the size, i.e. either 1.0 M.G. or 2.0 M.G. Also included are the fees for inspections during construction, preconstruction meetings, final certification inspection, and independent laboratory concrete testing. The fee percentage submitted are reasonable based on my company's low overhead and probably cannot be matched by any- one in Central Ohio with my reputation and experience. Box 206 Dublin, Ohio 43017 RE: Elevated Tank at Avery Road Dear Ms. Jordan: Thank you for meeting with me on January 20, 1987 to discuss the referenced project. The following items were discussed in detail: 1. Preliminary plans will be made available to you during the design process. I will continue open discussions with you throughout the design process. Colors of tank coatings will remain open for dis~ CUSSlon. 2. The proposed tank site at the northerly end of Avery Park is the most desirable for the Parks and Recreation Department if a tank is to be , located in one of the parks. Our discussions on Earlington Park led us to con- clude that Earlington Park would be more undesirable than Avery Park since (a) planning is not complete and a tank located now may hinder future planning, (b) the offsite utility extensions would be exten- sive, (c) getting boring trucks in immediately . would be difficult without access roads, and (d) maintenance storage at Avery Park would be most desirable for everyone. 3. The plan and specifications will require a construction road directly off of Avery Road so as not to destroy the new parking lot blacktop after installation. All disturbed area for parts storage during construction and other uses will be restored and reseeded. .' . FACT SHEET ELEVATED STORAGE TANK LOCATION AVERY PARK vs. EARLINGTON PARK JANUARY 22, 1987 l. Avery Park (A.P.) site is accessable immediately whereas streets to Earlington Park (E.P.) are under construction. Soils boring trucks must have immediate access. 2. A.P. is planned and the site being considered is vacant land. E.P. is not completely planned so that construction of a tank now could reduce use options. The E.P. site is also tied up with the school board for a combined school and park develop- ment. 3. A.P. is well isolated from existing residences with only one residence located approximately 1000 ft. (northeast corner of Avery and Brand Road). There is a new church just north of the proposed site on Brand Road which should not have a bearing on this use. 4. A.P. site can be accessed from an existing parking lot scheduled to be paved this summer. 5. A.P. site will require only a maximum of 450 ft. of offsite water, electric and telephone lines vs. unknown but anticipated longer distances at most E.P. sites. 6. Dublin Parks Director, Janet Jordan, prefers the A.P. site since the lower portion of the tank can be used for storage by the Department of Parks and Recreation and the A.P. site is most advantageous for this purpose. 7. The study points out the engineering reasons for the location of a tank in this general area. In view of these main points, it is my considered opinion that the tank be located at Avery Park in either of the two locations shown on the accompanying sketch which prove to be most favorable from a soils and foundation standpoint. I must point out that one tank manufacturers' representative has stated that he cannot guarantee completion on June 30, 1988 unless a contract is awarded by about April 1, 1987. Fencing will be eliminated and additional land- scaping will be substituted assuming all safety considerations can be met. 5. Security lighting and an additional double door on the west side will be added to the already scheduled overhead door and two manway doors. A concrete floor and condensate ceiling with side- wall insulation are already budgeted into the system. 6. Paved entrance to all doors will be from the paved parking lot to the south. 7. Two sites will be bored for soil analysis both being just north of the existing parking lot, one 430 ft. west of Avery Road and one 250 ft. west of Avery Road. In summary, after our meeting, I called Sherman Sheldon and he stated that he had no problem with Parks and Recreation using the tank ground level for storage as long as potable water conveyance is not hindered.
