Form No. 30043 Ordinance NO.u~4--9~?~m~_ Passednnm ___u_ n_~19_ AN ORDINANCE AUTHORIZING THE CITY MANAGER TO ENTER INTO A LEASE AGREEMENT WITH THE CITY OF COLUMBUS FOR 7.562 ACRES AT GRIGGS RESERVOIR, AND AS AP- PROVED BY THE LAW DIRECTOR WHEREAS, the City of Columbus, Ohio and the City of Dublin, Ohio have agreed to enter into a lease agreement; and WHEREAS, the City of Columbus has agreed to lease to the City of Dublin, Ohio, 7.562 acres at Griggs Reservoir, adjacent to Quarry Place (See Exhibit "A" for legal description) which shall include the appurtenant C easement rights contained in the Deed of Easement attached here to Exhibit "B"; NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Dublin, State of Ohio, ~of the elected members concurring: I I Section 1. That the City Manager is hereby authorized to enter into said ' Lease Agreement (as approved by the Law Director) with the City of Columbus for the above mentioned 7.562 acres at Griggs Reservoir, said agreement to be for a term of 99 years for a payment of $1.00/year payable to the City of Columbus upon invoice from the City of Columbus to the City of Dublin. WITNESSETH: That in consideration of the rent stated below and the /enant s herein stipulated, said Lessor agrees to lease unto said Lessee the following described real property, which shall include the appurtenant easement rights contained in the deed of easement attached hereto as Exhibit "B": (SEE LEGAL DESCRIPTION ATTACHED HERETO AS EXHIBIT "A" AND MADE A PART HEREOF) The Lessor and Lessee hereby agree that the following terms and conditions shall apply to this lease agreement: l. TERM This lease agreement shall be for a term of Ninety-nine(99) years, unless terminated as provided herein, commencing on , 1990, and terminating on , 2089. 2. RENT The rent for the term of this lease agreement shall be One Dollar($l.OO) per year payable to Lessor upon invoice by Lessor to Lessee. 3 . USE OF PREMISES The leased premises shall be used by Lessee as a "passive" recreational park area, open to the lblic without charge. Lessee shall not use or permit the -emi se s to be used in any manner inconsistent with the natural . primitive characteristics of the premises and shall take measures to ensure that use of the park by the public does not result in degradation of the park environs. The Lessee shall have the right and duty to maintain the premises in a clean, safe and sanitary condition, consistent with the permitted use, during the term of this lease agreement. The Lessee shall not materially alter the landscape, cO,ntours or elevations of the premises or remove any growing trees or foilage without first submitting a detailed proposal to the Lessor, specifically stating the action the Lessee wishes to take, and receiving the expressed written consent of the Lessor, by its Director of Recreation & Parks and Director of Public Utilities & Aviation, to proceed. All such proposals shall be attached to an executed copy of this lease agreement and maintained in a file with the Real Estate Division, Department of Law, City of Columbus. Any and all written consents, if any, to any such proposals shall also be maintained in like fashion by the Department of Recreation & Parks, City of Columbus, with copies being provided to the Division of Water, Department of Public Utilities & Aviation. 4. ASSIGNMENT The Lessee shall not assign, transfer or convey all or any portion of this lease agreement to any other )arty or entity, without the prior written consent of the Director )f Recreation & Parks and Director of Public Utilities & Aviation, 1nd any attempt to do so shall result in the automatic and immediate termination of this lease agreement. LESSOR'S RESPONSIBILITY The Lessor leases the premises to the Le sse e in its existing condition and makes no covenants or warranties, implied or expressed, as to any matters relating to the subject premises. 'I'he Lessee understands and acknowledges that the leased premises are a part of the real property owned by the Lessor for purposes benefitting the Griggs Reservoir, and as such, notwithstanding any agreements contained herein, is subject to the direct and indirect operation of Griggs Reservoir and Dam and the upstream operation of the O'Shaughnessy Reservoir and Darn. 6. LESSEE'S RESPONSIBILITY The Lessee, by acceptance of this lease agreement, hereby agrees to immediately notify the Lessor regarding any matters which may affect the Lessor's liability for or ownership of the leased premises. Additional responsibilities of the Lessee are delineated 1n other sections of this lease agreement. 7 . POWERS AND AUTHORITY The Lessor and Lessee shall have concurrent power and authority to police the subject premises. )wever, it is agreed that the Lessee shall have the duty to :-ovide continuing police protection over the leased premises Jring the term of this lease agreement. The Lessee shall patrol and control the public's use and enjoyment of the leased premises, as with other passive public recreational park areas of like nature, but not to the exclusion of any portion of the general public. The Lessor shall have the right at anytime to enter upon the leased premises for all public purposes, including, but not limited to, the making of surveys, soundings, drillings and other examinations which the Lessor deems to be in its best interest. Any such entries by the Lessor will be with due regard to the reasonable controls placed on the leased premises by the Lessee. 8. INDEMNIFICATION AND INSURANCE The Lessee hereby agrees to indemnify and save harmless the Lessor from and against any and all claims, actions, demands, damages, losses, suits and liability, including attorney's fees, arising or resulting from the use, operation and control of the leased prem1ses by Lessee. Further, the Lessee agrees, at Lessee's expense, to obtain and maintain, at all times during the term of this lease, public liability insurance, with a properly licensed insurance company in the State of Ohio, 1n an amount no less than ONE MILLION DOLLARS($I,OOO,OOO.OO), which insurance shall name :he Lessor as a co-insured and shall cover all potential liability _nvolved with the Lessee's use and control of the leased premises. It is understood and Lessee agrees that such public liability insurance coverage shall 1n no way limit the Lessee's indemnification of the Lessor, but shall be in addition thereto. 9 . IMPROVEMENTS The Lessee agrees that any improvements made upon the lease premises shall be made after first proposing and receiving consent/approval as provided in Paragraph 3 regarding material alteration to the premises. Should any improvements be made or built upon the property, it is understood and agreed that, upon termination of this lease agreement, by either party, such improvements shall become the sole property of the Lessor free and clear of any liens, encumbrances, or restrictions whatsoever, and no compensation shall be paid by the Lessor for any such improvements. Further, the Lessee agrees that it shall make no improvements or take or fail to take any action regarding the leased premises which may cause or g1ve rise to any lien or encumbrance being filed against the Lessor's real property. 10. DEFAULT The Lessee's breach of any covenant, term, condition or agreement contained herein may, in the sole discretion of the Lessor, be deemed a material breach of this lease agreement and as such the Lessor may immediately terminate this lease as provided for herein. lI. TERMINATION Notwi thstand'ing Paragraph 1 herein, this lease agreement may be terminated by either party at anytime upon Ninety(90) days written notice to the other. It is understood by the Lessee that the Lessor may terminate this lease agreement without cause, upon giving the aforementioned Ninety(90) days notice, and that any such termination by the Lessor without cause shall be deemed to be in the best interest of the Lessor, and no further inquiry as to the cause shall be deemed necessary. 12.
