[ RESOLUTION CONSENTING TO THE RE-
ACQUISITION BY WARNER COMMUNICA-
TIONS INC. OF 50% OF THE OWNERSHIP
OF WARNER AMEX CABLE COMMUNICATIONS
HELD BY AMERICAN EXPRESS COMPANY.
WHEREAS, Warner Communications Inc. sold a 50% ownership interest
in its cab Ie television business (the "Warner Amex Joint Venture")
to American Express Company in 1979: and
WHEREAS, in accordance with the original joint venture agreements
with American Express, Warner Communications Inc. has exercised
its right to reacquire such ownership interest;
NOW, THEREFORE, be it resolved that the transfer of the Village of
Dublin franchise from the Warner Amex Joint Venture to Warner
Communications Inc. or one of its subsidiaries, doing business as
Warner Cable Communications, is hereby approved and consented to
[ in all respects.
This Resolution shall take effect and be in force from and after the
earlie~ of the date of the final passage hereof or the earliest time
permitted by law.
