AND DECLARING AN EMERGENCY.

WHEREAS, Section 6.01(d) provides that special counsel may be
employed by Council to perform powers, duties and functions
authorized by Council, and;
WHEREAS, the Village has received a proposal from Squire, Sanders
& Dempsey to serve as Bond Counsel for the Village;
NOW, THEREFORE, BE IT RESOLVED by the Council of the Village of
Dublin, State of Ohio, 6 of the elected members concurring:
Section 1. That SQUIRE, SANDERS & DEMPSEY is hereby appointed as
Bond Counsel for the Village of Dublin until such time as Council
may provide for another appointee, and;
r- Section 2. That this Resolution be, and hereby is, declared to be
f an emergency measure necessary for the public peace, safety and
\.... welfare and that this Reolution shall take effect and be in force
immediately upon its passage.

.- SUBJECT: Resolution Appointing Bond Counsel

I have recently encountered several occasions where I feel the Village has not
been receiving adequate attention from its current Bond Counsel. While Bricker
and Eckler are highly regarded in the investment community, Squire, Sanders and
Dempsey have an equally good reputation and their legal opinion would be equally
well received. With the growth that the Village is experiencing, I feel certain
the Village will be facing several more debt issues over the next few years
and we need to receive more input and guidance from our bond counsel regarding
such issues and what we can do to best benefit the community.
Based on discussions the Law Director and I have had with representatives of
Squire, Sanders and Dempsey about the services we wish for them to provide, I
would recommend appointing them as bond counsel, effective immediately. The
Village has just finished with a major bond issue dated November 1, 1985 and
we are preparing for another assessment issue on November 18, 1985. Therefore,
this would be an appropriate time to make the change.
