Huber, P.E., Civil Engineer II Re: Resolution 15-23 – Authorizing the City Manager to Enter into a Letter of Agreement with Spectrum Mid-America, LLC for the South High Street Utility Burial – Phase 1 Project (19-030-CIP) Background As part of the Downtown Historic District beautification efforts, the City will be relocating the existing overhead utility lines along South High Street through the South High Street Utility Burial - Phase 1 Project (Project) by installing underground electric (AEP) and telecommunication utilities (Spectrum, AT&T, Breezeline, and Dublink) to service the affected parcels. The Project consists of two phases as requested by AEP. The Phase 1 Project area includes Franklin Street south of West Bridge Street and the west side of South High Street between West Bridge Street and Short Street. The Phase 2 area includes the east side of South High Street and Blacksmith Lane between West Bridge Street and Short Street. A location map is provided on page two of this memo. At the completion of both phases of the Project, all overhead utility lines and poles along South High Street will be removed between West Bridge Street and Short Street. Presently, this Project is anticipated to be complete by the summer of 2023. The Phase 1 underground improvements are scheduled to be performed in advance of the Franklin Street Improvements Project, which includes road reconstruction, sidewalks, curb ramps, and street trees on Franklin Street between Sells Alley and Waterford Drive. Summary Beginning in 2019, and after the initial coordination with American Electric Power (AEP), City Staff has coordinated extensively with Spectrum Mid-America, LLC (Charter) to determine the scope of work and develop the construction drawings necessary to bury their existing overhead telecommunication facilities for the Project. As a part of this Project, through this Letter of Agreement, Charter will remove all existing overhead telecommunication facilities and install new underground telecommunication facilities (wires, cables, and connections) in the Phase 1 Project area. Charter will receive reimbursement from the City for the cost of removing the existing overhead facilities and installing the underground telecommunication facilities. The City’s underground telecommunication conduit contractor (Chuck’s Septic Tank, Sewer & Drain Cleaning, Inc.) is responsible for installing the telecommunications conduit including all above ground items for the telecommunication utilities. The City is responsible for the total construction cost of the agreement. Therefore, the City is responsible for a cost of $60,170.62. The Project has been funded in the 2022-2026 Capital Improvements Program (CIP) from the South High Street Utility Burial, Phase 1 (ET203) in the amount of $1.825 million and funded further through Ordinance 19- 22 with an additional $2.32 million. On January 9, 2023, Council approved the necessary telecommunications letters of agreement with Cogeco US (OH), LLC dba Breezeline and Ohio Bell Telephone Company dba AT&T for the Project. This is the final telecommunications utility letter of agreement necessary for the Project. Recommendation Staff recommends approval of Resolution 15-23, authorizing the City Manager to enter into a Letter of Agreement with Spectrum Mid-America, LLC for the South High Street Utility Burial – Phase 1 Project. Project Location Map Letter of Agreement City of Dublin – South High Street Utility Burial – Phase 1 Project This Letter of Agreement is entered into as of this ___ day of __________, 2023 (the “Effective Date”), between the City of Dublin, Ohio, an Ohio municipal corporation whose tax mailing address is 5555 Perimeter Drive, Dublin, Ohio 43017 (“the City”) Spectrum Mid-America, LLC, a Delaware limited liability company, having a place of business at 12405 Powerscourt Drive, St. Louis, Missouri 63131-3668 (“Charter”). The City or Charter may be referred to herein as “Party” or collectively as “Parties.” Background Information  The City has worked with Charter to determine the scope of work and construction drawings to bury Charter’s existing overhead communication facilities as part of the South High Street Utility Burial – Phase 1 Project (“the Project”). Project area is shown in Exhibit A.  As part of the Project, Charter will remove all of its existing overhead communication facilities and install new underground communication facilities (City will install conduit) as set forth in the attached Exhibit B (the “Charter Work”)  Charter and/or Charter’s contractor, as appropriate, will submit the Charter Work for any necessary permits with the City. The City will waive the permit fee for the Charter Work as it relates to the Project.  The City’s contractor is responsible for and shall install two 2 inch conduits, pedestals, hand holes, and service lateral conduit for the existing residential customers and commercial locations as depicted in the final construction drawings set forth in Exhibit C. Charter shall order and deliver to the construction site all pedestals, and hand holes to be installed by City’s contractor.  Charter understands and acknowledges that its facilities may be installed in a shared area with other telecommunication and utility facilities and that it will be treated in the same fashion as other facility owners in such shared areas. Charter shall have perpetual use and access to the easements acquired for the project by the City for the purposes of operating and maintaining its communications facilities. There is no fee for the use of these project provided easements.  Charter is responsible for any costs beyond the cost of removing and burying existing facilities (e.g., any enhancements, additions, or upgrades to its facilities) to enable connections to existing residential customers and commercial locations.  Charter shall supply, install, and terminate all Charter’s communication wires, cables, to enable and the connection to serve Charter customers impacted by the Project.  The City is responsible for the work and costs for the Charter Work, as outlined above and as shown in the attached Exhibit B.  The Charter Work is estimated to be $60,170.62. Statement of Agreement The parties hereto acknowledge the accuracy of the above Background Information and agree as follows: 1. The Project: The City and Charter shall proceed with the Project pursuant to the plans and specifications included in Exhibit C. The City shall pay Charter the estimated costs of the Charter Work of $60,170.62 within 30 days of the execution of this Agreement. At the conclusion of the Project, the Parties shall ensure that the City has paid Charter the actual cost of the Charter Work. The Parties shall provide each other with invoices of the respective work in order to determine the actual cost of the work. The Parties shall provide the other Party with written notice of final, actual costs of the Charter Work within 30 days of the completion of the Project. Payment of these actual costs shall be made by each Party within 30 days of receipt of the written notice subject to the terms outlined in paragraph 7. 2. Notice. All notices given under this Agreement shall be in writing and delivered by (a) the United States Postal Service, certified mail, return receipt requested, postage prepaid; (b) personal delivery; (c) a nationally recognized overnight air courier service; or (d) scanned email or facsimile; in each case sent, delivered, emailed or faxed to the Parties as listed below. Each notice shall be deemed given upon the date sent. The lawyer for any Party is entitled to give notice under the terms hereof. Any Party may change at any time its notice address by delivering a change of address notice using the foregoing notice procedures. The City shall supervise the City’s Contractors installing the conduit and equipment pursuant to the Project. Charter shall supervise the installation of the wires, cables and connections work. 4. Contractor Warranties. The City shall be responsible for obtaining any warranties with its Contractor for Charter Work. Charter shall be responsible for any warranties with regarding to the wires, cables and connections work. Charter will accept the City installed conduits prior to installing wiring and equipment. 5. Title to the Charter Work Facilities. Upon completion of the Project, Charter shall be the owner of the Charter communication facilities installed as part of the Project, including all conduit, equipment, wires, cables and connections. It will be Charter’s responsibility to ensure that any and all contractors employed by Charter release any and all liens associated with the Project. The City will ensure that any and all liens associated with the City’s contractors work are released. 6. Indemnification. Charter agrees to indemnify, defend, and hold harmless the City from and against any and all losses, liabilities, claims and damages, costs and expenses (including reasonable attorneys’ fees and costs) arising from negligence associated with Charter’s work, construction, operation, maintenance, repair, and/or replacement of its facilities as part of the Project. Charter further agrees to cover the City’s fees and costs associated with the City’s efforts to release any liens associated with the Project should Charter fail to comply with the requirements in paragraph 5. 7. Cost Overruns. Final costs will be reviewed and agreed between the City and Charter for Project accounting. Any difference in final costs will be paid by the responsible party within thirty (30) days of agreed final Project accounting. Charter shall be responsible for cost increases over the agreed upon total unless changes are specifically for the Charter Work, which exclude Charter Enhancement’s. Changes to the City’s costs will only occur upon review and acceptance by the City in writing, executed by the parties hereto and as they make reference to this Letter of Agreement. 8. Jurisdiction. This Letter of Agreement shall be governed by the laws of Ohio. Any disputes arising herein shall be adjudicated at the Court of Common Pleas of Franklin County, Ohio. This Letter of Agreement is accepted by the parties hereto and executed as of the date set forth above.
