Re: Resolution 04-23 – Authorizing the City Manager to Enter into a Letter of
Agreement with the Ohio Power Company (AEP Ohio) for the Franklin Street
Extension Project (21-012-CIP)
Background
The Franklin Street Extension Project (Project) will construct an extension of Franklin Street from
West Bridge Street north to North Street and reconstruct Franklin Street from West Bridge Street
south to Sells Alley as shown on the attached exhibit. The Project will construct the roadway, install
permeable paver parking bays, brick paver sidewalks, street trees, street lighting, and bury the
overhead utility lines from Sells Alley to North Street. The intersection of West Bridge Street and
Franklin Street will be signalized and include pedestrian crossings. Finally, the temporary pedestrian
crossing of West Bridge Street at Darby Street will be removed. Presently, this Project is planned to
start construction in early 2023 and is anticipated to be complete in the fall of 2023.
A copy of the construction drawings for the Project are provided electronically, and a print version can
be provided to Council upon request.
Summary
Since 2021, City staff has coordinated extensively with AEP to determine the scope of work and
develop the construction drawings necessary to bury existing overhead electric facilities for the
Project. As a part of this Project, through this Letter of Agreement, the Ohio Power Company (AEP
Ohio) will remove all existing overhead electric facilities and install new underground electric facilities
in the Project area. AEP Ohio will receive reimbursement from the City for the cost of removing the
existing overhead facilities and installing the underground electric facilities.
The City is responsible for the difference in the total construction costs less AEP Ohio’s cost if they
were to relocate aerially. This cost difference, which is the City’s responsibility, is $239,700.04. The
Project is funded in the 2022-2026 Capital Improvements Program (CIP) from the Franklin Street
Extension (ET204) in the amount of $2,700,000.
Acquisitions from two parcels are necessary within the project area for AEP Ohio’s relocation as
follows:
• A 0.017-acre permanent utility easement from the City-owned Darby Street Parking Lot as
provided by Ordinance 69-22 adopted by City Council on December 5, 2022.
• A 0.072-acre permanent utility easement from the Dublin City School District Board of Education
(80 West Bridge Street) as provided by Ordinance 74-22 anticipated to be adopted by City
Council on January 9, 2023.

Letter of Agreement
City of Dublin – Franklin Street Extension Project
This Letter of Agreement is entered into as of this ___ day of _____, 2022 (the “Effective Date”),
between the City of Dublin, Ohio, an Ohio municipal corporation whose tax mailing address is 5555
Perimeter Drive, Dublin, Ohio 43017 (“the City”) and Ohio Power Company, an Ohio corporation
and a unit of American Electric Power whose primary place of business is located at 700 Morrison
Road, Gahanna, Ohio 43230 (“AEP Ohio”). The City or AEP may be referred to herein as “Party” or
collectively as “Parties.”
Background Information
The City has worked with AEP Ohio to determine the scope of work and construction
drawings to bury existing overhead electric facilities for the Franklin Street Extension Project
(“the Project”).
As part of the Project, AEP Ohio is willing to remove all existing overhead electric facilities
and install new underground electric facilities at the following locations / area: Starting at the
last utility pole parallel to Bridge Street on the southeast corner of the 80 W. Bridge Street
property, heading northeast along the overhead utility pole line to the last pole in the
southeast corner of intersection between Franklin Street and North Street.
AEP Ohio is willing to construct its facilities underground so long as the City reimburses the
estimated cost difference to remove the existing overhead facilities and to bury the existing
AEP Ohio facilities (“AEP Project Work”).
The total estimated cost of the project is $340,850.40. AEP is responsible for the cost it
would incur if the AEP Project Work needed for the Project were constructed overhead,
which is estimated to be $101,150.36. The City is responsible for the difference in these costs
which is estimated to be $239,700.04
AEP Ohio and/or its contractor will submit the AEP Project Work for a permit with the City.
The City will waive the permit fee for the AEP Project Work as it relates to the City’s
Project.
AEP Ohio will allow the City to screen above ground facilities to the City’s satisfaction.
Screening will conform to AEP Ohio policies where necessary. Should AEP Ohio remove
screening in the future, AEP Ohio will replace said screening in kind.
AEP Ohio is responsible for the supply, installation and termination of all wiring and
equipment, including but not limited to, transformers, pedestals, primary enclosures, switch
gear, conduit, wiring, and equipment pads, for the AEP Project Work and the Project.
The City shall acquire permanent easements for the installation of the underground conduits
and equipment for the Project on property identified as Franklin County Parcel numbers 273-
000001-00 and 273-003680-00. The City shall assign rights to said utility easements to AEP
Ohio on Franklin County Parcel number 273-000001-00 by way of a separate agreement. The
easement on Franklin County Parcel number 273-003680-00 will be in AEP Ohio’s name
conveyed by the City as it is property presently owned by the City.
The Parties hereto desire to set forth the terms upon which the City will reimburse AEP Ohio
for the AEP Project Work.
Statement of Agreement
The Parties hereto acknowledge the accuracy of the above background information, incorporate the
background information herein, and agree as follows:
1. The Project: AEP Ohio shall proceed with the AEP Project Work and the Project, pursuant to the
plans and specifications set forth in Exhibit A.
2. Supervision of Contactors. AEP Ohio shall supervise the contractor(s) to ensure the AEP Project
Work and other work associated with the Project are performed in a workmanlike manner.
3. Contractor Warranties. AEP Ohio shall be responsible for obtaining any warranties with its
contractors for the AEP Project Work and the Project.
4. Title to the AEP Ohio Work Facilities. Upon completion of the Project, AEP Ohio shall be the
owner of the electrical facilities installed as part of the Project. It will be AEP Ohio’s
responsibility to ensure that any and all contractors release any and all liens associated with the
Project. AEP Ohio shall reimburse the City any and all costs and fees should the City take action
to release any liens associated with the Project.
5. Cost Overruns. AEP Ohio shall be responsible for cost increases over the agreed upon total.
Changes to the City’s costs will only occur upon review and acceptance by the City in writing,
executed by the parties hereto and as they make reference to this Letter of Agreement.
6. Upon contract execution the City agrees to pay AEP Ohio for the AEP Project Work which shall
not exceed $239,700.04.
7. Jurisdiction. This Letter of Agreement shall be governed by the laws of Ohio. Any disputes
arising herein shall be adjudicated at the Court of Common Pleas of Franklin County, Ohio.
This Letter of Agreement is accepted by the parties hereto and executed as of the date set forth
above.
