AN ORDINANCE ACCEPTING THE
LOWEST AND BEST BID FOR
COMPUTER HARDWARE AND SOFT-
WARE FOR PUBLIC SAFETY AND
FINANCE APPLICATIONS, AND
AUTHORIZING THE CITY MANAGER
AND FINANCE DIRECTOR TO
EXECUTE A CONTRACT FOR THE
PROCUREMENT OF SAID EQUIP-
MENT AND SERVICES
WHEREAS, bids were advertised and received for a Citywide Information
System; and
WHEREAS, it is recommended that the lowest and best bid for the Public
Safety and Finance applications is from USTI/IBM
in the amount of $356.200.00 .
NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Dublin, State
of Ohio, 6 of the elected members concurring:
Section 1. That the bid from USTI/IBM in the
amount of $356,200.00 be, and hereby is, accepted.
Section 2. That the City Manager and Finance Director bet and hereby are,
authorized and directed to execute a contract with UST /IBM
for the procurement of computer hardware and software pursuant
to the Request for Proposal on file in the Finance Department.
Section 3. That this Ordinance shall take effect and be in force from
and after the earliest period allowed by law.

SUBJECT: Selection of a Computer System

Summary and Action Recommended:
Bids have been received for a computer system in response to
a formal RFP process. It has been recommended by the City's
consultant that a selection of a computer system be made for the
Public Safety and Finance applications. It was determined that
the GIS (Geographic Information System) application would likely
have a distinct hardware configuration and be implemented through
a vendor other than one selected for the Public Safety and
Finance applications; however, it appeared that the top
candidates for the GIS installation would be compatible with the
Public Safety/Finance installation. Therefore, it was decided
that the GIS installation would be made after the selection of a
Public Safety/Finance System has been made. The field of
responders to the RFP has been narrowed to four vendors and
representatives of the Police, Court, Tax and Accounting have
viewed demonstrations of these vendors. We are currently still
reviewing references and pursuing more formal contract
negotiations for our particular installation. We are reluctant
to identify a specific vendor at this time until the formal
process is complete; however, it is expected that this process
will be completed for the second reading of this Ordinance.
Issue
-
The Finance Department had received notification from its
current vendor that the system currently installed on Texas
Instruments equipment (DX-IO operating system) would only be
maintained for a period of five more years. (one and one-half of
these years has now expired). Their intent is to convert all
users to the UNIX operation system in order to facilitate their
ability to install and maintain their system. Consequently, the
level of support for the "old" system has dropped significantly.
New enhancements to the system are not available to users of the
DX-IO operating system. In addition the State has mandated that
all cities would be reporting on a GAAP (accrual) basis. It was
recommended that the City convert or change to a new computer
system prior to full implementation of GAAP reporting. It was

Here are the revised proposed contracts. I felt it would be helpful to expedite the
operation by shOwin~ the language that would be used under two alternatives. The grices
on AppendIces A an B of the SOftware License Agl:eement reflect how we would s ow
these costs if IOU choose Option 1 of the payment schedule shown as Paragaph 6A on
Page 2. The discount wonla not ap~ly if you select Option 2 of Paragraph 6A:. Please note
that the prices on AP~endix B have been reduced su15stantially under we assuml?tion that
Option 1 of parafcrap 6A is selected. In the event 9Ption 2 is selected, the original
Appendix B wou d apply. The discount on Appendix A is applicable only if Option 1
language applies.
We will send final contracts to reflect your choice of options for Paragraph 6A and to
reflect the length of maintenance agreement you desire as soon as the Oty has made a
determination.
I incorporated the certification of adequacy of hardware implementation assistance in the
change to the Implementation Contract under Article V. Section 3.
We will get a performance bond to cover software license fees, training and
implementation costs. The cost of the bond shoutd be about 2% and will be borne by the
City.
I believe we have incorporated all issues requested via our telephone meeting. Please feel

B. Ucensor warrants the licensed application software to conform to
Ucensor's published documentation and/or RFP response and will
correct any identified discrep'ancy at no cost for a p'criod of six (6)
months from the date of beginning installation of the first licensed

APPLICATION SOFI'WARE MAINTENANCE AGREEMENT
BEIWEEN
CI1Y OF DUBLIN, omo
AND
UNITED SYSTEMS TECHNOLOGY, INC.
d/b/a Municipal Software and Public Safety Technology
THIS AGREEMENT, made and entered into this 29th DaJ of June, 1990, by and
between the City of Dublin, Ohio, hereinafter called Licensee. an United Systems
Technology, mc.. with offices at 3021 Gateway Drive, Irving, Texas, 75063, hereinafter
called Licensor.
WITNESSETH
WHEREAS, Licensee has previously purchased a software license for certain
computer application software fOf its user system from Licensof; and
WHEREAS, Licensee desires to utilize and to protect all proprietazy rights of said
application software; and
WHEREAS, Licensee desires to employ Ucensor for providing sustaining
maintenance and application software upgrades; and
WHEREAS, Licensor has proposed acceptable terms for providing maintenance
and upgrading under an on-going contract basis.
NOW, THEREFORE, for and in consideration of the mutual covenants and
conditions hereinafter contained, Licensee does hereby employ Ucensor to provide
6Ustaining maintenance and application software upgrade service and Ucensor does hereby
acce~t employment in acoordance with the covenants, conditions, definitions and terms
whic follow, together with any appendices that are mutually approved, attached hereto
and made a part hereof.
ARTICLE 1- DEFINITIONS AND LOCATIONS
Section 1 - DefinitioJl..5
A "A~lication Software" shall mean the source code and object code supplied
by .censor for the operation of all licensed application software system(s) as
outlined in the Application Software Contract.
B. IIUser System or Hardware" shall mean tbe equipment as outlined in the
Application Software Conlract.

c. . Application Software Upgrades" shall mean improvements/u~ades to the
licensed app-lication softWare which im~oves the o~ting pe ormance of
the application software but does not c nge the basic function of the
licenSed software. Licensor will provide complete u'pdates of application
software versions without charge, but reserves the 11gb! to invOice for
personnel time and/or travel eXJ)~nded in the implementation ofthe
proposed UPltJldes.
D. "Base System" shall mean the current version of the licensed application
software system(s) as would normally be installed by Licensor.
E. "Application ~port/Brror RccoveJy" shall mean the support listed below
for all "applicationsll Installed by Licensor.
1. Provide periodic software updates distributed on diskette with
instructions tor use and installation. Updates are distributed with
either an optional or requited installatIon status. Required updates
must be installed to stay within the base system.
2. Successful imp.lementation of periodic u~ates is the user's
responsibility for programs not originally installed by either licensor
or Its agents.
3. Error Recove~ (fix it 5:rt) will address all problems encountered
in running a~ ication ware ~videdjfe licensor. Assistance will
be provided phone, diskettes ing m ed, or an on-site visit ~
Ucensor ~ersonnel if required. Licensor re..~erves the right to pill for
out of pocket expenses actuany incurred.
F. "Application Software Use" shall mean that Licensee shall have the right to
use the licensed application software s~tem(~, as outlined in the
Ap.plication Software contract, on their User ystem only, without prior
written approval of Licensor.
Section 2 - Locations
A lbe user system hardware utllizing the licensed application software
gstem(s) and application software upgrades is located at Oty of Dublln,
hio.
B. All notices and communications under this ai!'eement that are to be mailed
or delivered to licensor shall be sent to the address of Licensor as follows,
unless and until Licensee is otherwise notified:

C- All notices and communicatiol1S under the agreement that are to be mailed
or delivered to Ucensee shall be sent to the address and offices of Licensee
as follows:

ARTICLE n - SCOPE OF SERVICES
Section 1 - General RCQ,JIirements
Licensor shall provide application support~error recovery for the licensed
apElication software system(s) and application so Mare upgrades in accordance with the
fO owing terms:
A. The a~eement between the parties shall initially be for a period of
~ears om the effective date provided in Article V and automaticallI renew
or an additional period of one year on each anniversaIY thereafter. Either
par~ mat. terminate the agreement b~ givilli written notice to the other party
not ess t an thirty (30) days prior to the annual renewal anniversary date.
Notice of termlnation, except for cause, shall not amend the duties, rights or
liabilities that occur until date of termination.
B. Licensor will maintain the licensed a~rlication software ~tem(s) during the
term of this agreement. Ueensor sh make available to icensee aU
updated and revised versions to the base system which are provided by
Llcensor.
C. Licensor will ~orrect ant error and, if such is found to be caused by
modification to the app ieatioD software by any ~art other than licensor, or
its agent. Lic:ensor reserves the right to invoice t e . eensee for such service
on a time and materials basis at current Ueensor hourly rates plus actual out
of pocket expenses.
D. Licensor shall not be responsible for consequential damages by program
malfunctions.
E. Licensor will provide Licensee with notification of ~tion of su~port for
licensed aSPl1cation software UDder OS/400 (although this cessabon is not
antici~ate under any current expectation) three (3) years prior to such
cessation.

ARTICLE m . PAYMENT FOR SERVICES
Section 1 - Payment for Basic Services
The Licensee a~rees to pay all ap~licable fees for software u~ates and
maintenance service c ar~es per pricing Clescrlbed in Appendix A. e fee shall be
reviewed Krior to the anmversary date of this agreement. Written notice of any needed
changes s all be provided to the other p~ not less than six~ da~ (60) prior to the
effective date for revised charges. The fee., to be charged wU not increase more than ten
percent (10%) per year. Payment shall be made within thirty days (30) days of receiving
said invoice.
Section 2 - Payment for Additional Services
An.y services approved in addition to the a.8l.:eed provisions of Article II of this
agreement shall be invoiced on a time and matenal basIS at the current Licensor billing
rate plus ~ actual out of ~cket expenses, which wlll meet the Licensee's travel ~ense
poliCies. invoices for a ditional services shall require a~proval by Licensee, or liislher
afent and pa~ent of invoices for additional services shall e made within thirty ~30) Clays
o said approval. Additional services ~iCaUY address the needs of the Licensee or
consulting and custom programming. ourly fees are as follows:
a. Installation!Training - $65 per hour
b. Custom Pro~ming and Hardware Technical Services -- $75 per hour
c. Consulting - $100 per hour
The fees to be charged will not increase more than ten percent (10%) per year from
the above rates.

ARTICLB IV - MISCELLANEOUS PROVISIONS
Secti9n 1 It CornpUan~ of all Laws
The Licensee and Licensor agree that they will perform their oblif:ions hereunder
in accordance with applicable laws, rules, and regulations now and here a r in effect in the
State of Ohio. If any terms or pro'Visions of this agreement shan be found to be ille~ or
unenforceable then, the remainder whereupon so amended shall remain in force and
effect.
Section 2 - Special Provisions
A. Cessation of Business R~ts: If Licensor or it's successor company, shall for
any reason, cease to con uct business, this agreement shall automatically
terminate, and no further charges made or services performed. Any fees
unearned by licensor will be returned to the Purchaser.

B. Notices: All notices under this agreement sball be in writi:& and shall be
deemed duly given; upon deUvery to a ~arty hereto at the a dress
hereinabove set forth or such other ad ress as specified by Licensee.
C. Author:2: Licensee and Licensor have full power and authority to enter into
and ~ orm this agreement, and the person signing this agreement OD behalf
of each has been propetly authorized and empowered to enter into this
agreement.
D. Assi~ent: Licensor shall not asSiG; or convey this agreement to any other
party without prior written consent licensee.
E. LiccDSce shall have the ri~t to approve/reject suPPQrt personnel assigned to
install, train, and support the licensed apphcation software.
ARTICLE V - SIGNIFICANT DATES
Sectiop 1 - 'Provisions of Effective Date
A. This agreement will become effective six (6) months after the beginning of
installation of the first licensed application software system.
Section 2 - AnniverS8c:y Date
A. The anniversary date shall be ___ years after the effective date.
B. At the anniversary date the agI:eement is automatically renewed for a period
of one )'ear unless notified by the other party within ttiirty (30) days pnor to
the anniversaty date.

THIS AGREEMENT, made and entered into this Da'y of

WHEREAS, City has previously &urCbascd a software li"nse for certain computer
application software for its user system rom Vendor; and
WHEREAS, City has purchased hardware for use in operating said software; and
WHEREAS, City desires to employ Vendor for providing implementation
assistance; and
WHEREAS. Vendor has proposed acceptable terms for providing implementation
assistance under an on-going contract basis;
NOW, THEREFORE, for and in consideration of the mutual covenants and
conditions hereinafter contained Ci9' does herebt employ Vendor to provide
implementation assistance and Vendor does here Y. accefxt employment in accordance with
the covenants, conditions, definitions and terms wtiich fo low, together with any appendices
that are mutually approved, attached hereto and made a part hereof.
.ARTICLE I - LOCATIONS

B. Assistance will be provided at City of Dublin, Ohio and at other locations
deemed appropriate by the circumstances and action involved.

Section 1 - Estimated Costs
The actual costs will remain under the control of the City, in that the Qity may
reduce or chanle the level of effort requested from usn as the &roject pro~esses. The
actual costs wi also val)' btt the personnel needed or requc.~ted or a particu at item. The
expected range of costs to e City can be expected to be:

Phase n $5,760 - $12,800
Total Costs $15,000 - $25,000
Section 2 - Billing: Rates

ARTICLE V - MISCELLANEOUS PROVIS1ONS
Section 1 - Com,pliance of ,.11 laws
The Oty and Vendor agree that th~will&erform their obligations hereunder in
accordance with applicable laws, rules, an rep ations now and hereafter in effect in the
State of Ohio. If any terms or provisions of thiS agreement shall be found to be illegal or
unenforceable then, the remainder whereupon so amended shall remain in force and
effect.
Section 2 - Special Provisi9n5
A. Cessation of Business R~hts: If Vendor or it's succeSSor company. shall for
any reason. cease to con uct businesst this agreement shall automatically
terminate, and no further charges made or services pedormed. Any fees
unearned by Vendor will be returned to the City.
B. Notices: All notices under this agreement shall be in writiD! and shall be
deemed duly given; upon delivery to a ~arty hereto at the a dress
hereinabove set forth or such otlier ad ress as specified by Oty.
c. Authority: Oty and Vendor have full power and authority to enter into and
perform this agreement, and the person signing this agreement on behalf of
each has been properly authorized and empowered to enter into this
agreement.
D. Assignment: Vendor shall not assign or convey this agreement to any other
party without prior written consent by Oty.

Vendor certifies that the hours indicated for Phase I, Task C and Task F arc
adequate to perform the steps indicated in Article 2.

THIS CONTRACf, made and entered into this 29th Dabof June, 1990, by and
between City of Dublin, Ohio, hereinafter called Licensee, a.nd nited ~tems
Technology. Inc., at 3021 Gateway Drive, Suite 290, Irving, in the State of Texas,
hereinafter called Licensor.
WITNESSETH
With consideration of the mutual covenant and conditions herein-after contained,
Ucensee does hereby accept the conditions which follow.
1. A11licensed application software system(s) are the licensed COJyright
materials of licensor and shall not be duplicated, used or dis oseo in whole
or in part for any purpose other than operation ot the computer ~tem of
Licensee or unless written apl};oval is obtained from licensor. e
ap~lication software licensea erein is designed for one or more of the
fo owin~ hardwdfe systems ~the s~cific hardware system for each purchased
applicanon software ~tem 15 listed in 1Aendix A):

IBM system~36 W-36)
IBM or 100 ~ IB -com&atible Mlcrocomchuters (Micro)
Although licensor matadapt e application so twate to operate on other
hardware systems, the icensee may not use tbe licensed application software
system(s) on any hardware system not specifically authori2eCl in Appendix A,
except tlie licensed afflicatlon software may be operated on any aF.propriate
system for up to nine (90) da~ as a re~onse to, and as a a~ 0 , a dIsaster
recovery plan. The LIcensor will allow e Licensee to app!y all license fees
paid for a particular software ~tem toward a more expensive version of that
same system. The Licensor wi nOl cha~e more than a thirty percent (30%)
additional license fee to upgrade to any arger AS/400 system environment.
2- Ownership of the licensed application software system(s) will be retained by
Licensor. Uccnsee bereby 8irees not to resell, trade or otherwise make the
licensed application software system(s) available to a~ other person(s) or
enterprise without the express written consent of the LIcensor.
3. The Ucensee's Request for Proposal and the Licensor's response are
incorporated into and become part of this contract. In the event of
discrepan~ between the contract and the licensor's res~nse, the contract

the licensor proposed to meet via software which the Licensee is not inIdally
