O. ~ Form No. 2806-A Ordinance NO'u_mQ,~_-::El6________ Passedumum 'ummumummum_u____m_19mn_ AN ORDINANCE AUTHORIZING THE VILLAGE MANAGER AND FINANCE DIRECTOR TO ENTER INTO AN AGREEMENT WITH THE WALTER H. DRANE COMPANY TO REVISE THE DUBLIN PLANNING AND ZONING CODIFIED ORDINANCES, AND DECLARING AN EMERGENCY. WHEREAS, a proposal has been submitted by the Walter H. Drane Company to assist the Village in the revision of these Codified Ordinances, NOW, THEREFORE, BE IT ORDAINED by the Council of the Village of Dublin, State of Ohio, 7 of the elected members concurring: Section 1. That the proposal for legal services as submitted by the Walter H. Drane Company in the attached contract and it hereby is accepted by the Village of Dublinj and, Section 2. That the Village Manager and Finance Director be, and they hereby are authorized and directed to execute a contract with the Walter H. Drane Company for the services provided therein; and, Section 3. That there be appropriated from the unappropriated balance of the General Fund, the sum of $12,000.00 to the account of A01-04-4A-2350 to meet the obligations of this contract; and, Section 4. That this Ordinance be, and it hereby is, declared to be an emergency measure necessary for the preservation of the public peace, health and safety, and for the further reason that these revisions are necessary for the proper administration of the Planning and Zoning Division, and therefore this Ordinance shall take effect and be in force immediately upon its passage. I' ~~ , CONTRACT FOR PROFESSIONAL LEGAL SERVICES An agreement between the Walter Drane Company, (hereinafter called the Contractor), and the Village of Dublin, Ohio, (hereinafter called the Village), through its Manager, in consideration of mutually agreed upon promises, obligations and conditions: A. The Contractor shall: , 1. Review, analyze and evaluate in detail the current Village Planning and Zoning Code for the purpose of improving, upgrading and redrafting substantive provisions of such Code. 2. Meet in conference work at the Village Hall with appropriate Village officials and staff to discuss findings, recommendations and drafts for inclusion, exclusion Jr change in the current substantive r')visions of r.ne Planning anG Zonbg Code. n Refer issues or questions incapable of satisfactory c ~terminat;')n .). thrcugh conferences to tb Council for a decision. 4. Reorganize, edit md renumber the rets5ned, chang~d or new provisions so as to be compatiole with the current cla,ssification and numbering system of the Codified Ordinances. 5. Prepare ordinances as required, to adopt amendments and new enactments and to repeal obsolete, superseded or replaced provisions. B. The Village shall: 1. Pay the Contractor $60.00 per hour for services performed in Section A of this Agreement, based on submission of statements to the Manager. The above project shall not exceed the sum of twelve thousand dollars ($12,000.00), unless altered or modified as authorized by the Manager pursuant to Section 8.02 of the Charter. . C. Certificate of Availability of Funds. It is agreed that the services to be required of the Contractor shall not exceed the services that may be compensated under certificates concerning the appropriation and availability of funds for this Contract as rendered, filed and recorded by the Director of Finance of the Village. D. Independent Contractor. It is agreed that services performed under this Contract by the Contractor shall be as an independent contractor and not as an employee of the Village; and that the Contractor shall not be responsible or liable for the work of officers or employees, other attorneys or others used by the Village as counselor consultants. E. Termination. It is agreed that either the Village, through its Manager or the Contractor may terminate this Contract by giving registered written notice thereof to the other, effective upon receipt, at the addresses as set out below the signatures to this Contract. Upon termination, the Contractor shall be paid, pursuant to this Contract, for services performed and expenses incurred prior to termination.
