RESOLUTION NO. '5"'-7'
A RESOLUTION AUTHORIZING VILLAGE OF DUBLIN
PARTICIPATION IN THE DUBLIN FUND OF THE
0 COLUMBUS FOUNDATION AND APPOINTING A
REPRESENTATIVE OF COUNCIL TO THE ADVISORY
COMMITTEE OF THE SAID DUBLIN FUND.
WHEREAS, there is presently being organized a Dublin Fund
as a separate fund within the Columbus Foundation, and
WijEREAS , such a fund would be for the benefit of the
inhabitants of the Village and for worthwhile public projects
within the Village, and a part of the already existing and
benevolent Columbus Foundation, and
WHEREAS, individuals, groups and corporations have expresse
an interest in contributing to a fund which would be for the
benefit of Village inhabitants, and
WHEREAS, said fund would be in addition to and not in
D conflict with other funds and projects of groups within the
Village.
NOW THEREFORE BE IT RESOLVED by the Council of the Village,
, members concurring:
SECTION 1. That it be and hereby is declared to be worth-
while and beneficial for the welfare of the Village to partici-
pate in the proposed Dublin Fund of the Columbus Foundation by
appointing a representative of Council to the Advisory Committee
which will establish and advise on contributions and requests
for grants from the proposed Dublin Fund.
SECTION 2. That :T 5I1A~IQN be and hereby is
appointed as the representative of the Village in creating the
0 Dublin Fund, to report periodically on the progress of said

SECTION 3. This Resolution shall take effect and be in
force from and after the earliest period allowed by law.

THE DUBLIN FUND OF
THE COLUMBUS FOUNDATION

Trustee Under the Declaration of Trust
~ Creating and Governing The Columbus
~ Foundation
Gentlemen:
You will find attached hereto checks in the aggregate
sum of $ payable to First Trust Company of Ohio,
N.A. , as Trustee for The Columbus Foundation, by which is hereby
created The Dublin Fund for the uses and purposes enumerated
in the Declaration of Trust Creating and Governing The Columbus
Foundation and as more specifically provided herein. This Fund
shall be administered by you as one of the qualified Trustees
under said Declaration of Trust, subject to all the terms and
conditions contained therein, and any amendments or additions
0 thereto at any time made, except as hereinafter set forth.
The Dublin Fund within The Columbus Foundation is
established for the benefit of all citizens of Dublin, Ohio
and the surrounding area. The founders hope and expect many
individuals, organizations and institutions will contribute to
The Dublin Fund over the years, thereby confirming their interest
in the civic, charitable, cultural and educational programs
for which The Dublin Fund has been established.

The Advisory Committee of The Dublin Fund shall
have the right to suggest distributions of income and principal
of the Fund to the Governing Committee of The Columbus Founda-
tion, who will in turn direct the Trustee Banks to make distri-
0 butions among those organizations located in the Dublin area
as are eligible to receive funds under the terms of the
Declaration of Trust governing The Columbus Foundation. Further-
more, the Governing Committee of The Columbus Foundation will
direct the disbursement of all funds held by the Trustee Banks
to any organization designated by the Advisory Committee of The
Dublin Fund as successor to The Dublin Fund within The Columbus
Foundation provided such organization named as successor to
The Dublin Fund within The Columbus Foundation (1) qualifies
as the recipient of funds under the terms of the Declaration
of Trust governing The Columbus Foundation, and (2) the Internal
Revenue Service has determined that such organization is exempt
from Federal income taxation under Section 50l(c)(3) of the
D Internal Revenue Code of 1954. The Governing Committee of
The Columbus Foundation will consult with the Advisory Committee
of The Dublin Fund prior to directing the Trustee Banks to
make distributions among any organizations not suggested by the
Advisory Committee of The Dublin Fun~.
The suggestions to the Governing Committee of The
Columbus Foundation as to the distribution of income and principal
of The Dublin Fund shall be made only upon the concurrence of a

majority of the Advisory Committee of The Dublin Fund at a
meeting thereof of which advance, written notice has been
delivered to all of the then qualified and acting members of
the Advisory Committee (who may in writing waive such notice).
C The suggestions forWarded to the Governing Committee of The
Columbus Foundation shall be in writing, signed by the then
duly elected Secretary of the Advisory Committee of The Dublin
Fund and shall contain the true statement that the suggestions
contained therein are made with the approval of at least a
majority of the members of the Advisory Committee of The Dublin
Fund.

There shall be seven (7) members of the Advisory
Committee of The Dublin Fund. Each of the following organiza-
tions or officials (hereinafter referred to sometimes as
"appointing agencies") shall appoint one person as a member
of the Advisory Committee, and at the first regularly convened
meeting of the Advisory Committee, the initial members so

appointed shall appoint two "at large members".
The appointing agencies which shall each appoint a
person to serve on the Advisory Committee of The Dublin Fund,
are:
1. A representative of the Council of the Village
of Dublin;
2. A representative of one local bank or financial
institution;
3. A representative of the local Chamber of Commerce;
4. A representative of the Dublin Historical Society;
S. A representative of one major corporation (i.e.,
Ashland, Wendy's, etc.).

The Advisory Committee shall adopt a Code of Regulations
providing inter alia for the election of officers, the maintaining
of records, the calling of meetings, the selection of "at large
members", the terms of office, and the substitution of appointing
C agencies. The term of office for any member of the Advisory
Committee shall be not more than four years, and no person may
be reappointed to the Advisory Committee for more than one
additional term by the same appointing agency. The Code of
Regulations adopted by the Advisory Committee and any amendments
thereto shall be consistent with the terms of the Declaration of
Trust of The Columbus Foundation as the same may be modified or
amended from time to time and shall be consistent with the
general purposes and intentions of The Columbus Foundation, the
Trust and The Dublin Fund.
