A RESOLUTION TO AUTHORIZE THE CHAIRMAN
OF THE CHARTER COMMISSION TO ENTER INTO
tl A CONTRACT FOR SPECIAL LEGAL COUNSEL
FOR SAID CHARTER COMMISSION.
BE IT RESOLVED by the Council of the Village of Dublin, State of
Ohio, ~ of the elected members concurring:
SECTION I. That the Chairman of the Charter Commission is hereby
authorized to enter into a contract with John E. Gotherman, Part-
ner, i n t he law firm of PECK SHAFFER & WILLIAMS for Special Lega I
Counsel in the drafting of a Charter for the Village of Dublin,
Ohio.
SECTION 2. That this Resolution shall take effect and be In
force immediately upon its passage.

WHEREAS, the electors of the Village of Dublin, Ohio (the
"Village" ) have elected a Charter Commission (the "Commission") to
draft a charter (the "Charter") to be submitted to the electors of the
Village for their approval or rejection; and
WHEREAS, the Commission desires to secure the services of
C special legal counsel experienced in the drafting of municipal charters
to provide legal services to the Commission; and
WHEREAS, the law firm of Peck, Shaffer & Williams (the
"Special Counsel") of Cincinnati and Columbus, Ohio, is experienced in
the drafting of municipal charters in Ohio; and
WHEREAS, the Commission desires to enter into a contract
with Special Counsel to provide legal services to the Commission as
set forth in this Contract, and Special Counsel is willing to provide
such legal services; and

WHEREAS, the legislative authority of the Village has
previously appropriated Three Thousand Dollars ($3,000.00) to pay the
cost of the legal services to be provided to the Commission by the
C Special Counsel;
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. Special Counsel agrees to provide legal services to the
Commission and the Vill~ge as follows:
(a) To prepare an outline of decisions that must be
considered by the Commission to form the structure and procedures of
government of the Village under a municipal Charter.
(b) To attend meetings of the Commission as requested
by the Chairman of the Commission, at times and dates agreeable to the
Special Counsel and the Chairman of the Commission.

. (c) To prepare drafts of Charter language, review
drafts of Charter language prepared by the Commission, to revise such
drafts and generally assist in the preparation of the Charter document
to be submitted to the electors of the Village.
(d) To provide consultation services to the Commission,
as are mutually agreed by the Special Counsel and the Chairman of the
0 Commission.
To provide such other services as are mutually

agreed by the Special Counsel and the Chairman of the Commission.
2. The Village shall compensate the Special Counsel for its
services as follows:
(a) For the services set forth in Section lea), l(b),
l(c) and led) of this Contract, the sum of Seventy-five Dollars
($75.00) per hour; including travel time.
(b) For any services rendered under Section lee) of

this Contract, either:
(i) The sum of Seventy-five Dollars ($75.00) per
hour, or
U (ii) Such other amount as agreed to in writing by
the Special Counsel and the Chairman of the Charter Commission.
(c) To reimburse Special Counsel for actual expenses
incurred, including but not limited to photocopies..
(d) Compensation to the Special Counsel under this
Contract shall not exceed the sum of Three Thousand Dollars ($3,000.00)
unless any compensation in excess of said amount shall be authorized
by the Commission, appropriated by the Council of the Village of
Dublin, and certified as available by the Village Clerk.

3. It is agreed that services to be required of the Special
Counsel shall not exceed the services that may be compensated under
certificates as to the availability of funds issued from time to time
by the Village's fiscal officer.

CERTIFICATE OF AVAILABILITY OF FUNDS
0 It is hereby certified that the amount of Three Thousand
Dollars ($3,000.00), the amount estimated at this date to be required
to meet the contract with Peck, Shaffer & Williams for certain profes-
sional services as Special Counsel to the Village, has been lawfully
appropriated for such purpose and is in the treasury or in the process
of collection to the credit of the Fund, free from any
previous encumbrances.
