BE IT RESOLVED by the Council of the Village of Dublin, State of
Ohio, 5 of the elected members concurring:
Section 1. That the Deed of Easement attached hereto as Exhibit A
for Sanitary Sewer Improvements, hereby are accepted.
Section 2. That this Resolution is hereby declared an emergency to
expedite the construction of said Sanitary Sewer.

northerly to the nQ)::therly side of the driveway en-
trance to the truck bay alo!1g the east side of the
Vorelco, Inc. building.
".. TO HAVE AND TO HOLD said premises unto said Grantee, the Village
....... of Dublin, Ohio, its successors and assigns forever, for the uses
and purposes hereinbefore mentioned.
BY THE ACCEPTANCE OF THIS EASEMENT, said Grantee, the Village of
Dublin, Ohio, covenants and agrees as follows:
(1) The Grantee shall complete any construction,
maintenance, cleaning, repair or care as soon as possi-
ble, weather permitting, after the commencement thereof
and in a good and workmanlike manner and, after the
completion of any construction, maintenance, cleaning,
or care, shall promptly restore said premises to their.
prior condition, including the continuous removal of
dirt, snow and water during construction.
(2) The Grantee shall not permit anything to be done
or any condition to arise or continue which shall be a
tI"" threat, nuisance or inconvenience to persons or proper-
ty in the vicinity of the easement areas or on lands of
the Grantor or which shall interfere with access to
~ lands of the Grantor. The Grantee shall not obstruct
access to the parking areas and truck dock loading area
of the Grantor's property, and if deemed necessary by
the Grantor, the Grantee shall provide temporary access
roads of proper width and bearing capacities satis-
factory to the Gran tor for the use of the Grantor and
its tenants.
( 3) Prior to commencing any construction within the
easement areas, the Grantee shall, at its own cost and
expense, take appropriate steps to protect all existing
underground and above ground utilities, sprinkler
systems, trees and other vegetation and to provide
adequate erosion control dams {hay bales).
(4) The Grant~e shall prvviue temporary fencing,
si9nage, illuminated barriers and security where deemed
necessary by the Grantor. Contractors' work force
shall not enter any of th~ Grantor's buildings or any
facility leased to a third party without the expressed
consent of the Grantor, nor shall the Grantee or any of
its agents or employees or contractors park or store
,- any cars, trucks or equipment in any parking or truck
dock area. Contractors' work force and equipment shall
be restricted to the staging area or construction
........ easement area.
(5) The Grantor shall incur at no cost, expense or
liability whatever in connection with this agreement,
and the Grantee shall indemnify the Grantor and its
parent, subsidiaries, affiliates, officers, directors,
employees, and agents and held them harmless from and
against any claim, demand, suit, action, proceeding,
judgment, cost and expense of every kind and nature
(including, without limitation, attorneys' fees) which
may result directly or indirectly from any breach by
the Grantee or failure by the Grantee to comply with

any provision of thi5 ag~eement upon the Grantee's part
to be kept, observed I performed or compl ied with or
which may result directly or indirectly from the use of
the easement areas or the carrying out thereon of any
construction, maintenance, cleaning, repair or care by
the Grantee or the Grantee's agents or employees.
,... (6) The Grantee shall provide Public Liability Insur-
ance (with Contractual Liability endorsement) and
., Automobile Liability Insurance naming the Grantor as a
named insured with limits not less than:
Public Liability Insurance:
Personal Injury Liability with limits of $1,000,000
each occurrence and $1,000,000 in the aggregate.
Property Damage Liability, with limits of $500,000
each occurrence and $1,000,000 in the aggregate.
Automobile Liability Insurance:
Bodily Inj ury wi th 1 iud ts to $500,000 each person
and $1,000,000 each occurrence.
Property Damage wi t.:"1 limits to $500,000 each
occurrence.
Limits may be satisfied by providing excess liability
insurance in form and content and with an insuror
acceptable to the Grantor. The Grantee will submit a
r certificate of insurance evidencing the foregoing to
the Grantor before commencing any construction with the
\.,., easement areas. Such certificates shall provide that
written notice shall be given to Grantor thirty (30)
days prior to cancellation or modification of any such
policy. The insuror for the Grantee agrees to waive
its Right of Subrogation against the Grantor, its
parent, subsidiaries, affiliates, officers, directors,
employees and agents for any claim which might arise by
reason of any payment under these policies.
(7 ) The Grantee shall take particular precautions when
engaging in blasting or the use of dynamite or other
explosives and shall use great caution to insure that
no damage shall arise to the Grantor's property or the
property of its employees, tenants or agents. Any
damage occasioned to the premises or property of the
Grantor or the propei.ty of its employees, tenants or
agents shall be promptly restored to its prior condi-
tion. Every effort shall be taken to prevent damage to
pond areas that might arise from blasting. All blasting
shall be done at the sole risk of the Grantee.
(8) The recording of this easement releases and super-
cedes the easement of record in Official Record 00684

.,-- (9) This Deed of EaBe:nE:nt may be modified only by an
agreement in writing signed by both parties hereto.
All the terms, covenants and agr;;ements in this Deed of Easement
shall run wi th the land and ohall inure to the benefit of and be
binding upon the successors and assigns of the Grantee and the
Grantor.

WITTNESSETH
That for and in consideration of the covenants and agreement of the parties
herein contained, The ODOT hereby expressly authorizes the Village to deposit the
pre-bid estimate (or some larger amount) of said Village's participation share
of project cost in the amount of Two Hundred Si xty One Thousand Ni ne Hundred Forty
Two - - - - - - - - - - - -00/100 Dollars, ($261 ,942.00), as required by The ODOT1S
Invoice No. 6308 dated the 18th day of April, 1985, on Project described as: FRANKLIN-
r- COUNTY - VILLAGE OF DUBLIN - U.S. ROUTE NO. 33 - SECTION 3.S1 - FEDERAL AID PROJECT
'-" NO. F-BHF-11 (65), in an interest bearing account, repurchase agreement or certificate
of deposit with the FINANCIAL INSTITUTION. Such funds shall thereupon remain
on deposit for the credit of the ODOT and said Village until such time as payment
of the Village's estimated participation share, as determined after receipt of
bids, is ordered to be paid by the Administrator of Contract Sales or the Director
of ODOT. Upon receipt of such order for payment, IN THE FORM OF A REVISED INVOICE,
the FINANCIAL INSTITUTION hereby agrees to deliver and pay over to The ODOT, ~
return mail within twentyfour (24) hours , the funds so requested (but in no event
more than the amount of the pre-bid estimate) and to deliver and pay over to the Village
the accrued interest thereon and any balance that may remain. (The Village's
ultimate share of the cost shall be determined in accordance with the FINAL RESOLUTION
and the CONTRACT).

hereinafter referred to as the State, witnesseth:
WHEREAS, On the 6th day of June, 1983, said legislative authority adopted
legislation proposing to cooperate with the State in the highway improvement,
which is to be made by and under the supervision of the Director of Transportation,
said highway improvement being described as follows:
U. S. ROUTE NO. 33 - SECTION 3.57 - VILLAGE OF DUBLIN
The bridge rehabilitation on U. S. Route No. 33, over the Scioto
River, 0.10 mile west of State Route No. 745, east, to State Route
.-.. No. 257, lying within the Village of Dublin. Total 1 ength of
work being approximately 0.401 mile

WHEREAS, Thereafter, on the 22nd day of June, 1983, the Director of Transportation
accepted the proposal of said legislative authority to cooperate with the State
in said highway improvement, said action of the Director of Transportation being
recorded in the Director's journal, volume 68 at page 616

WHEREAS, On the 18th day of April, 1985, the Director of Transportation
determined to make the proposed highway improvement, when, in his judgement, conditions
permit the advertising and awarding of a contract, therefor
; and
WHEREAS. Thereafter. on the 19th day of April, 1985, the Director of Transportation
submitted plans and estimates for said highway improvement to the legislative
authori~ for approval

proposing to co-operate. requesting the Director of Transportation to proceed

WHEREAS, The Clerk has reported to this legislative authority that a certified
copy of such Resolution bas been duly tran5mitted to said Director of Transportation

WHEREAS, This legislative authority assumes and agrees to pay as its share
~ of the cost and expense of construction of said highway improvement the sum of
money hereinbefore set forth, which moneys are now available for the purpose and
as to which the fiscal officer has filed with said legislative authority a certificate
that such moneys are in fund, all as required by statute, a duplicate of which
certificate has been filed with the Director of Transportation
; and
WHEREAS, In said legislation proposing cooperation, said legislative authority
proposes to cooperate with the Director of Transportation in the improvement of U. S.
Route No. 33, as follows:
1. By assuming and bearing One Hundred percent (100%) of the cost of
Preliminary Engineering and Ten percent (10%) of the total construction
costs and all costs for added construction items generating extra work
contracts under Ohio Laws, unless performance is approved by the State
of Ohio and Fedreral Highway Administration before work is authorized.
The Director of Transportation notwithstanding the percentage basis of contribution
may allocate the money contributed in whatever manner he may deem necessary in
.-.... financing the cost of construction, rights-of-way, engineering and incidental
expenses. The total share of the cost for the Village of Dublin, is now estimated
t in the amount of Two Hundred Sixty One Thousand Nine Hundred Forty Two - - - - - -
.~ _ _ _ _ 00/100 Dollars, ($261,942.00), but said estimated amount is to be adjusted
in order that the Village's ultimate share of the cost of said improvement shall
correspond with said percentages of actual cost when said actual costs are determined
; and
WHEREAS, Said legislative authority agrees that upon completion of the
said improvement it will, thereafter, keep said highway open to traffic at all
times; and
(a) Maintain the improvement in accordance with the provisions of the
statutes relating thereto, and make ample financial and other provisions
for such maintenance; and
(b) Maintain the right-of-way and keep it free of obstructions in a manner
satisfactory to the State of Ohio and hold said right-of-way inviolate
for public highway purposes and permit no signs, posters, billboards,
roadside stands or other private installations within the right-of-
way limits; and
(c) Will place and maintain all traffic control devices conforming to
the Ohio Manual of Uniform Traffic Control Devices on the improvement
in compliance with the provisions of Section 4511.11 and related sections
,... of the Ohio Re~ised Code; and
'-- (d) Regulate parking in the following manner:
Prohibit parking within the limits of the improvement

WHEREAS. Said Village further agrees:
I'" (a) That all existing street and public way right-of-way within the Village which i
j!;i- necessary for the aforesaid improvement shall be made available therefor.
~ (b) That the Village wi.ll requit'e any additional right-of-way required for the
construction of the aforesaid- improvement in accordance with applicable
State and Federal Regulations and instructions given by the State.
(c) That arrangements have been or will be made with and agreements obtained
from all public utility companies whose lines or structures will be
affected by the said improvement and said companies have agreed to make
any and all necessary plant removals or rearrangements in such a manner
as to be clear of any constt'uction called for by the plans of said
improvement and said companies have agreed to make such necessary rearrange-
ments immediately after notification by the Village or the Department of Trans-
porta ti.on Engineer.
(d) That it is hereby agreed that the Village shall, at its own expense, make all
rearrangements of water mains. service lines, fire hydrants. valve boxes,
sanitary sewers. or other municipally owned utilities and/or any appur-
tenances thereto. which do not comply with Ohio Department of Trans-
portation Directive 28-A, whether inside or outside the corporate limits
as may be necessary to conform to the said improvement and said rearrang-
ments shall be done at such time as requested by the Department of Trans-
portation Engineer,
,-.... (e) That the construction. reconstruction. and/or rearrangement of both
publicly and privately owned utilities. referred to in subsections (c)
'-' and (d) above shall be done in such a manner as not to interfere unduly with tt
operation of the contractor constructing the improvement and all back fill ing (
trenches made necessary by such utility rearrangements shall be performed in
accordance with the provisions of the Ohio Department of Transportation
Construction and Material Specifications and shall be subject to approval
by the State.
(f) That the installation of all ut'ility facilities on the right-of-way
shall conform with the requirements of the Federal Highway Administration
Policy and Procedure Memorandum 30-4. "Utility Relocations and Adjust-
ments" and the Department of Transportation rules on Utility Accomodations.
(g) That the Village hereby agrees that the said Department of Transportation
of the State of Ohio shall be and is hereby saved harmless from any
and all damages or claims thereof arising from or growing out of the
certification or obligations made or agreed to in subsections (a),
(b). (c). (d) and (e) hereinabove.

NOW, THEREFORE, In consideration of the aforegoing and the construction
of said improvement desired and determi~ed by the legislative authority of Dublin,
Ohio, said legislative authority hereby contracts and agrees with the State of
