A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH ASHLAND INC. (f.k.a.
ASHLAND OIL, INC.) FOR THE DEDICATION OF RIGHT-OF-
WAY FOR THE RINGS ROAD IMPROVEMENT PROJECT.
WHEREAS, Dublin has determined the necessity to widen and expand Rings Road to
facilitate better traffic flow throughout Dublin; and
WHEREAS, Dublin has passed resolutions approving the widening of Rings Road
between Frantz Road and the 1-270 bridge; and
WHEREAS, Ashland owns two adjoining parcels, one approximately 15.716 acres and the
other approximately 99.983 acres, located to the North of Rings Road and between Paul
Blazer Parkway and the 1-270 bridge; and
WHEREAS, Dublin needs approximately 3.355 acres in fee simple, consisting of .627
acres of additional right-of-way and 2.728 ofP.R.O., and an additional 3.179 acres for a
Permanent Drainage and Utility Easement on said properties adjacent to Rings Road; and
WHEREAS, the Agreement provides that in the future Dublin will improve two Rings
Road intersections adjacent to Ashland's property; and
WHEREAS, Dublin agrees to enter into a joint landscaping initiative to relocate trees and
add additional landscaping as necessary.
N~, THEREFORE, be it resolved by the Council of the City of Dublin, State of Ohio,
of the elected members concurring that:
Section 1. The City Manager is hereby authorized to enter into an Agreement (attached
as Exhibit "A") with Ashland regarding the Rings Road widening project.
Section 2. This Resolution shall be in force and effect immediately upon its passage I
as provided under Section 4.04(a) of the Revised Charter.

AGREEMENT BETWEEN THE CITY OF DUBLIN AND ASHLAND INC.
This Agreement, effective on the date executed below, is executed by the City of Dublin
(hereinafter "Dublin") for, and in consideration of, dedication of real property as stated herein by
Ashland Inc. (hereinafter "Ashland").
WHEREAS, Dublin and Ashland have maintained a favorable working relationship for a
number of years; and
WHEREAS, a goal of Dublin is to continue and enhance a favorable relationship with
Ashland; and
WHEREAS, Dublin is in the process of widening Rings Road between Frantz Road and
the 1-270 bridge; and
WHEREAS, Ashland owns the property located to the North of Rings Road and between
Paul Blazer Parkway and the 1-270 bridge; and
WHEREAS, Dublin needs approximately 3.355 acres of right-of-way and 3.179 acres
for a permanent Drainage and Utility Easement on said property adjacent to Rings Road; and
WHEREAS, Ashland has agreed to donate the necessary 3.355 acres by Special
Warranty Deed and dedicate approximately 3.179 acres by way of a permanent Drainage and
Utility Easement.
NOW, THEREFORE, in consideration of the promises, covenants and agreements
contained herein, the Parties covenant and agree as follows:
1. Ashland agrees to donate to Dublin approximately 3.355 acres by Special
Warranty Deed and approximately 3.179 acres by way of Permanent Drainage
and Utility Easement.
2. Dublin agrees to provide Ashland, in the future, with up to two curb-cuts along its
Rings Road frontage: one right-in/right-out and one full service. The full service
curb-cut shall be signalized. Ashland may choose which curb cut will be full
service and which curb cut will be right-in/right-out. The curb-cuts will align
with the curb-cuts located on the property located on the south side of Rings
Road. Dublin shall pay for all improvements within the public right-of-way and
median-cuts associated with activating the curb-cuts, including signalization and
construction.

3. Dublin will cooperate, facilitate and assist Ashland in its efforts to acquire
approval/permitting from the appropriate authorities for the building of a
bridge(s) over the Cramer ditch for intersection access to the aforementioned
curb-cut(s).
4. The Parties agree to do a joint landscaping initiative in an effort to relocate
existing trees and provide additional landscaping along Rings Road and the
Permanent Drainage and Utility Easement. Dublin shall pay for all required
relocation of existing trees and additional landscaping.
