' ===_~ Resolution No, ..'" ....., YEAR Ii A RESOLUTION ADOPTING A MEMORANDUM OF I AGREEMENT BETWEEN THE CITY OF DUBLIN AND TIMOTHY C. HANSLEY WHEREAS, Council has considered and approved the Memorandum of Agreement between the City of Dublin and Timothy C. Hansley, which is attached hereto and incorporated herein as Exhibit "A" as if fully rewritten. NOW, T~FORE, BE IT RESOLVED, by tbe Council oflhe City of Dublin, State of Ohio, I of the elected members concurring, that: \ Section 1. The City Council hereby approves and adopts the Memorandum of Agreement I between the City of Dublin and Timothy C. Hansley. Section 2. The above-referenced memorandum of Agreement serves to fully release the City of Dublin, its Council, and future Councils from all further obligations related thereto. Section 3. The Mayor ofthe City of Dublin, as the duly elected leader of City Council is hereby authorized to execute this Agreement on behalf of City Council. Section 4. (p. k of Council. Dublin. Ohio Exhibit "A" MEMORANDUM OF AGREEMENT This Memorandum of Agreement between the City of Dublin, an Ohio Municipal Corporation, and Timothy C. Hansley, approved by Dublin City Council, is made as ofthis /;-3 j I, day of 1.-1 /.cL riA ,'-1 ,2001 ~ . I WITNESSETH WHEREAS, Mr. Hansley has served the City of Dublin since 1987 in various capacities, including City Manager, Director of Public Safety, Director of Public Service, Director of Development and Director of Administrative Services; and WHEREAS, Mr. Hansley has worked untold hours faithfully performing the duties and responsibilities inherent to the said positions, and City Council recognizes that heretofore he has not been fully compensated for these additional duties; and WHEREAS, As a result thereof, Mr. Hansley has accumulated a significant amount of unpaid vacation leave, personal leave, sick leave and informal compensatory time; and vVHEREAS, City Council acknowledges that it is impossible to calculate the full value ofMr. Hansley's years of dedicated service to the City of Dublin; and WHEREAS, City Council, nonetheless, recognizes its moral obligation to fairly compensate Timothy C. Hansley, and City Council desires to facilitate Mr. Hansley's planned retirement following over thirty years of public service. NOW THEREFORE, in full consideration thereof, the City Council of the City of Dublin and Timothy C. Hansley agree as follows: 1 1. Mr. Hansley shall be entitled to a salary of$101,515,OO retroactive to March 1,2001 and shall be retained on the payroll of the City of Dublin at this salary and all of his current benefits through June 13,2002. 2. Due to Mr. Hansley's accumulated vacation leave, persona11eave, sick leave, and informal compensatory time, no work or services will be required ofMr. Hansley nor shall Mr. Hansley be authorized to act in any official capacity for the City of Dublin after December 13, 2001. 3. Further, Mr. Hansley shall be allowed to remain in the City-owned residence at 3615 Jenmar Court through June 13,2002 under the same tenns and conditions as are provided for in his most recent employment agreement. After June 13, 2002, Mr. Hansley shall be given the option to rent this residence for $800.00 per month for a minimum of thirty-six (36) months. 4. Further, to fairly and equitably compensate Mr. Hansley for his accumulated informal compensatory time balance, his accumulated vacation and persona11eave balances, and his accumulated sick leave balance, the City of Dublin shall pay to Mr. Hansley fifty percent (50%) of his accumulated sick leave balance and one-hundred percent (100%) of his accumulated persona11eave and vacation leave balances. The Director of Finance is hereby authorized and directed to present this lump sum payment to Mr. Hansley at the next regular pay date following December 13,2001; such payment to be charged to previously appropriated funds in the accounts of the Office of the City Manager and/or the General Fund Reserve for Contingencies. 5. It is the intent ofMr. Hansley and City Council that in consideration of the mutual covenants and promises set forth herein, this Agreement shall serve to fully release the City of Dublin, its City Council and future City Councils, and Mr. Hansley from all further obligations 2 as relates to the provisions set forth herein, and the parties hereto expressly recognize that this Agreement constitutes a modification by mutual agreement of the provision contained in Section I I (A.) ofMr. Hansley's current Employment Agreement regarding the term of that Agreement. This Agreement shall be binding on and inure to the benefit ofthe parties hereto, the legal representatives, successors in interest, heirs and assigns, respectively, of each party.
