RECORD OF ORDINANCES BARRETT BROTHERS - DAYTON, OHIO Form 6220S Ordinance No. 31-25 Passed APPROVING THE EXPANSION OF THE BRIDGE PARK NEW COMMUNITY AUTHORITY AND METHOD OF SELECTING SUCCESSOR DEVELOPER MEMBERS OF THE BOARD OF TRUSTEES WHEREAS, pursuant to Chapter 349 of the Ohio Revised Code, on February 17, 2015, Crawford Hoying Development Partners, Ltd. (the “Original Developer”) filed a petition (the “Original Petition”) for the establishment of the Bridge Park New Community Authority (the “Authority”) with this City Council; and WHEREAS, this City Council adopted Resolution No. 25-15 on March 19, 2015, determining that the Bridge Park New Community Authority (the “District”) would be conducive to the public health, safety, convenience and welfare and that it was intended to result in the development of a new community as described in Chapter 349 of the Ohio Revised Code, and declaring the Authority organized as a body corporate and politic in the State of Ohio; and WHEREAS, Section 349.03(B) of the Ohio Revised Code authorizes this Council to add property to the District with the consent of the property owner; and WHEREAS, the Central Ohio Transit Authority, the City of Dublin, BP Extension I Acquisition LLC, 4370 Dale Drive Acquisition LLC, Bridge Park JBlock Commercial Investments, LLC, Crawford Hoying Development Partners, LLC, and Bridge Park YBlock Holdings LLC have filed consents (collectively, the “Consents”) for the addition of property to the District, including the property labeled as Block J and Block Y on the map attached as Exhibit A hereto (the “Expansion Area”); and WHEREAS, Crawford Hoying Development Partners, LLC (the “Developer”), as the “developer” for the District within the meaning of Section 349.01(E) of the Ohio Revised Code does not object to adding the Expansion Area to the District; and WHEREAS, the Developer has agreed to allow the assignment of one of the developer appointments to the Board of Trustees of the Bridge Park New Community Authority by the City; and WHEREAS, this City Council, as the organizational board of commissioners, adopted Resolution No. 63-25 on November 17, 2025, determining that the Consents comply as to form and substance with the requirements of Section 349.03 of the Ohio Revised Code and fixing the time and place for a hearing on the addition of the Expansion Area to the District; and WHEREAS, this City Council, as the organizational board of commissioners, held a public hearing on the addition of the Expansion Area to the District on December 8, 2025, after public notice was duly published in accordance with Section 349.03 of the Revised Code; and NOW, THEREFORE, BE IT ORDANIED by the Council of the City of Dublin, State of Ohio, ( of the elected members concurring, that: Section 1. Findings. City Council finds and determines pursuant to Section 349.03 of the Revised Code that the owners of the Expansion Area have consented to inclusion of the Expansion Area within the District pursuant to the Consents, that the Developer has not objected to the inclusion of the Expansion Area in the District, and that the expansion of the District to include the Expansion Area will be conducive to the public health, safety, convenience and welfare, and will be consistent with the development of the new community, will not jeopardize the plan of the new community, and is intended to result in the development of the new community. Section 2. Boundaries. The boundaries of the District are hereby amended to include the Expansion Area, as further set forth on Exhibit A hereto and the boundaries of the District are hereby ratified to include all property shown as within the District on Exhibit A hereto. As permitted by Section 349.04 of the Ohio Revised Code and as agreed by the Developer pursuant to the J Block Development Agreement between the City and the Developer, dated April 21, 2025, upon written notice from the City to the Developer and the Secretary of the Board of Trustees of the Bridge Park New Community Authority (the “Board”), the City may assign the right to appoint one of the developer appointees to that Board to a third-party entity (the “Additional Developer”) developing property within the District and thereafter the Developer shall have the right to make two appointments to the Board and the Additional Developer designated by the City shall have the right to make one appointment to the Board. Section 4. Open Meetings. This Board finds and determines that all formal action of this Board and any of its committees concerning and relating to the passage of this ordinance were taken in an open meeting of this Board or any of its committees, and that all deliberations of this Board and any of its committees that resulted in those formal actions were in meetings open to the public, all in compliance with the law including Section 121.22 of the Revised Code. Section 5. Effective Date. This Ordinance shall be in full force and effect immediately upon its adoption. MATAEAREN ARN TATULS MATA & i qo a7 To: Members of Dublin City Council From: Megan O'Callaghan, City Manager Date: November 11, 2025 Initiated By: Matt Rubino, Chief Financial Officer/Director of Finance Re: Ordinance 51-25 Approving the Expansion of the Bridge Park New Community Authority and Method of Selecting Successor Developer Members of the Board Of Trustees Summary This Ordinance would expand the Bridge Park New Community Authority (NCA) by adding the parcels that comprise the developable areas designated as J Block and Y Block. In addition to expanding the NCA, the ordinance includes parcels developed within the District that were not included in the original petition to create the NCA for various reasons. One final provision in the ordinance is a change in the appointment of NCA Board members. One of the three developer appointed board members would be allocated to the City to designate an additional developer to hold the seat on the NCA board. The original creation and subsequent expansion and amendments to the NCA petition are done in accordance with the Council approved development agreements and as authorized in applicable sections of Revised Code Chapter 349. Background The Bridge Park NCA is a strategic governance and financing model that drives urban redevelopment, enhances community amenities, and creates a sustainable funding structure for future growth. The Bridge Park New Community Authority (NCA) was established under Ohio Revised Code Chapter 349 to promote a well-planned, economically sound community in Dublin’s Bridge Park district. The NCA has a primary purpose to oversee development of public infrastructure improvements and community facilities within Bridge Park, ensuring an orderly and economically sound community. The NCA is a form of public-private partnership tool to finance infrastructure and community amenities from a dedicated revenue stream without increasing general taxes. The Bridge Park NCA was established on March 19, 2015, via Ordinance 25-15 after a public hearing and petition by Crawford Hoying Development Partners. The area established in the original NCA Petition included Blocks A,B,C,D,F,G,H and Z as detailed in the map included in Figure 1 below. The request to expand the area of the NCA is the first such request since the original petition was approved. If approved, all development blocks controlled by Crawford Hoying will be incorporated in the expanded NCA area. Pursuant to provision in the related Revised Code, the NCA has legal authority to acquire property, fund improvements, issue debt, and collect community development charges within the District. The NCA levies community development charges on certain types of businesses located with the NCA District. The current established charges include a 0.5% fee on restaurant and retail receipts and a 1% fee on hotel bills and assessed valuation-based charges on residential properties in the District. The revenue from the charges primarily fund debt service charges, programming, and long-term maintenance of facilities located in the Bridge Park District. The NCA charges are remitted to the County Auditor and distributed to the City for allocation to the corresponding developments within the Bridge Park District. The estimated revenue from these charges is expected to total $3.1 million in 2025. Ordinance to Amend NCA Petition The J Block Development Agreement and Y Block Development Agreement provide, among other things, for the expansion of the territory of the Authority (the “District”) to include J Block and Y Block, as provided herein. All property owners including the Central Ohio Transit Authority, the City of Dublin, Crawford Hoying Development Partners, LLC, and development entities (LLCs) under control of Crawford Hoying have provided written consent for the addition of property to the District, including the properties labeled as J Block and Y Block. A copy of the written consent signed by all property owners has been included with the agenda item. The City and Developer have identified certain discrepancies between the real property identified in the Original Petition and the real property that has been developed within the District prior to the creation date of the NCA. These discrepancies resulted from the replatting/creation of new parcels and legal descriptions and land swaps among the City, the Developer, and its affiliates in connection with the development of the District. All such properties were owned by the City, the Developer, or entities under common control with the Developer at the time of the Original Petition. For avoidance of doubt, the Developer will agree to amend the Original Petition to include all real property identified Amending the Petition to the Bridge Park New Community Authority November 12, 2025 Page 3 of 3 on Exhibit and that the Written Consent and Amendment, including but not limited to newly-created parcels described on Exhibit F of the that document, and the Developer confirms that it does not object to the addition of the parcels to the District. A map of the expanded District is provided in Figure 2 below and a full sized map has been included with the agenda item materials. Figure 2 Section 6 of the Original Petition provides that the Developer shall appoint three developer members (each, a “Developer Appointee”) to the Board of Trustees of the Authority (the “NCA Board”). Under Section 9.1 of the J Block Development Agreement, the Developer agreed that the City may assign the right to appoint one Developer Appointee to a third-party entity (the “Additional Developer”) developing property within the Bridge Street District (the “Additional Development Site”). The Developer hereby amends Section 6 of the Original Petition to provide that, upon the addition of the Additional Development Site to the District, and written notification by the City to the Developer and the Secretary of the NCA Board, the Developer shall have the right to appoint two Developer Appointees, and the Additional Developer designated by the City shall have the right to appoint one Developer Appointee. The requested changes described above comply with the provisions of the original petition, existing development agreements, and the applicable sections of Revised Code. Council approval of the Ordinance is required to enact the proposed changes. An additional Resolution 63-25, determining the sufficiency to amend the NCA petition and set a hearing date has been placed on the November 17, 2025 Council agenda along with this Ordinance. The sufficiency Resolution sets a date for a public hearing on the petition amendment of December 8, 2025.
