NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Dublin, State of Ohio, _“] _ of the elected members concurring that: Section 1. The City Manager is hereby authorized to enter into a one-year agreement with Washington Township to install and maintain Program Equipment in accordance with the terms of the contract, attached hereto as Exhibit “A.” Section 2. (LL Clet eg of Conc 4 To: Members of Dublin City Council From: Megan O’Callaghan, City Manager Date: February 25, 2025 Initiated By: Chief of Police Justin Páez Deputy Chief Greg Lattanzi Re: Resolution 15-25 – Authorizing the City Manager to Enter into an Agreement with Washington Township for the Drone as First Responder Program Background The Dublin Police Department began its drone unit in 2019, which currently includes 21 police officers certified as drone pilots. The agency was approached by Paladin, a Houston, Texas-based company with an owner from Central Ohio about its Drone as First Responder (DFR) program. DFR is an FAA-authorized program that enables officers to send autonomous drones to emergency calls for service that are beyond an officer’s visual line of sight. The program’s drone technology enables first responders to increase their situational awareness, operate more effectively, and save lives. Public safety technology, such as DFR, supplements police operations and safety programming by improving emergency response, preventing crime, and establishing investigatory leads. DFRs can safely guide officers onto a scene using real-time information, monitor large crowds during events, and provide critical details about traffic congestion and patterns. Under this agreement, the Dublin Police Department would become the first DFR program in the nation to partner with the local schools and fire department as launch sites. Summary In this proposed license agreement, the City of Dublin would be permitted to install and maintain Drone as First Responder (DFR) program equipment on the Washington Township building in the Dublin community. The program will operate drone docking stations at four strategic locations, including Dublin City Hall, Dublin Scioto High School, and Grizzell Middle School, and Washington Township’s administration building at 6200 Eiterman Road, allowing coverage of the entire city to enhance public safety response. The license agreement grants the City of Dublin access to the buildings’ rooftops as needed and state the licensor is to provide power and internet. The agreement also addresses the City of Dublin’s reimbursement to Washington Township for installation costs, such as the docking equipment and electric and internet connectivity. The City is responsible for equipment maintenance and any necessary repairs. These agreements are for one year and automatically renew annually unless either party provides a 90-day notice of non-renewal. Recommendation Staff recommends approval of Resolution 15-25. Office of the City Manager 5555 Perimeter Drive • Dublin, OH 43017 Phone: 614.410.4400 Memo LICENSE AGREEMENT This License Agreement is entered into this day of February, 2025 by and between Washington Township, an Ohio (the “Licensor”), an Ohio political subdivision, whose mailing address is 6200 Eiterman Road, Dublin, Ohio 43017; and the City Of Dublin, Ohio, an Ohio municipal corporation (the “Licensee”), whose mailing address is 5555 Perimeter Drive, Dublin, OH 43017. WHEREAS, for public safety, the City is installing a remote drone network (“Program”) that will enable the City to respond quickly to incidents; and WHEREAS, as part of this Program, the City will be installing Program equipment (“Equipment”) on various buildings in the City; and WHEREAS, the Licensors desire to grant Licensee a license permitting said Licensee to install and maintain the buildings identified below; NOW, THEREFORE, in consideration of the foregoing premises, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by the parties, it is agreed as follows: 1. Grant of License. The Licensor hereby grants to the Licensee a license to use a portion of the roof of the building located at 6200 Eiterman Road, Dublin, Ohio 43016 (“Building”), for the purpose of installing and maintaining Equipment related to the Program. 2. Installation. Licensee shall be solely responsible, either by direct payment or reimbursement, for all costs associated with the installation of the Equipment. 3. Access. The Licensor shall provide to Licensee access to the Building on an as needed basis. 4. Utilities. Licensor agrees to provide, at no cost, Licensee power and an internet connection for the Equipment. 5. Maintenance and Repair. The Licensee, at its sole cost and expense, shall maintain said Equipment in good repair and condition at all times during the term of this Agreement. The Licensee shall further repair any damage resulting from the installation and maintenance of the Equipment. 6. Terms of the License. The term of this Agreement shall be for a period of one (1) year, commencing on the Effective Date and terminating on the date that is one (1) years thereafter (the “Initial Term”). This Agreement shall automatically renew for one (1) year terms (collectively, the “Renewal Terms”) unless either party gives the other party written notice of non- 2 0127206.0607929 4932-5341-1607v1 renewal at least ninety (90) days before the end of the Initial Term or any Renewal Term. Upon the termination of this Agreement for any reason, Licensee shall remove the Equipment and restore the Building to its original condition.
