AUTHORIZING THE CITY MANAGER TO ENTER INTO A COST
SHARING AGREEMENT WITH THE DUBLIN CITY SCHOOL
DISTRICT FOR THE HYLAND-CROY ROAD AND CACCHIO
LANE TRAFFIC SIGNAL PROJECT (24-033-CIP)
WHEREAS, the City of Dublin (the “City”) and the Dublin City School District (the
“DCSD”) have worked cooperatively to support DCSD’s Elementary XV school being
constructed at 6855 Cacchio Lane; and
WHEREAS, a traffic impact study performed as part of the design and development
of Elementary XV identified the need for a traffic signal at the intersection of Hyland-
Croy Road and Cacchio Lane; and
WHEREAS, the City has coordinated with DCSD for the installation of a traffic signal
at the intersection of Hyland-Croy Road and Cacchio Lane as part of the Hyland-Croy
and Cacchio Lane Traffic Signal Project (the “Project”); and
WHEREAS, the City and DCSD have agreed to share equally in the cost for the
design and construction of the Project following the terms and conditions set forth in
a Cost Sharing Agreement between the parties for the Project; and
WHEREAS, the City hereby agrees to continue coordination with DCSD during
construction of Elementary XV and the Project .
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Dublin, State
of Ohio, __‘/ _ of the elected members concurring that:
Section 1. The City Manager is hereby authorized to execute the attached Cost
Sharing Agreement with the Dublin City School District for the purpose of
constructing a traffic signal and other necessary improvements at the intersection of
Hyland-Croy Road and Cacchio Lane.
Section 2. This Council further hereby authorizes and directs the City Manager,
the Director of Law, the Director of Finance, the Clerk of Council, or other appropriate
officers of the City to prepare and sign all other agreements and instruments and to
take any other actions as may be necessary to implement this Resolution and
complete the work for this Project.
Section 3. This Resolution shall take effect upon passage in accordance with
Section 4.04(a) of the Revised Dublin Charter.

Background
The City of Dublin (City) and the Dublin City School District (DCSD) have worked cooperatively to
support the DCSD’s Elementary XV school being constructed at 6855 Cacchio Lane which includes
the building, private site improvements and public improvements to include a westbound left-turn
lane on Cacchio Lane and a traffic signal (signal) at the Hyland-Croy Road/Cacchio Lane
intersection.
A traffic impact study (TIS) was performed on behalf of DCSD as part of the design and
development of Elementary XV and identified the need for the construction of a traffic signal at the
intersection of Hyland-Croy Road and Cacchio Lane. The proposed signal (Project) will be owned,
operated, and maintained by the City, and will include 3 signal poles with mast arms, video
detection, touchless pedestrian crossing buttons, a new signal controller, and other associated
infrastructure.
As a result of coordination and in consideration of time, DCSD and the City are working
cooperatively on the installation of the signal. The City has lead the signal design and creation of
the associated construction plans at a cost of $61,300. The design is complete with the installation
advertised for bids in December 2024. The bid opening is to be on January 22, 2025. The City will
award the construction contract for the Project per the City’s statutory process to the lowest and
best bidder. Once awarded, the City will manage the construction. Presently, the construction costs
are estimated to be $540,000.
Construction will occur in 2025 with a goal of having the traffic signal operational before the start
of school in August 2025, if possible. Lead times for several key components of the signal may
dictate when the final installation and activation of the signal can occur. Staff has specified in the
construction plans that all underground construction associated with the signal installation must be
complete prior to the opening of the school. Any remaining work will be completed once all
components have arrived.
The City and DCSD have drafted a Cost Sharing Agreement (as attached) wherein each party is
responsible for 50% of the design costs and 50% of the construction costs, resulting in a
reimbursement from the DCSD to the City in an estimated amount of $300,650. At the conclusion
of the signal installation (Project), the City will determine the actual cost of the Project and DCSD’s
share of the actual Project costs. DCSD staff have reviewed and approved the proposed Cost
Sharing Agreement.

In terms of the City’s funding share, the Project is funded in the 2025-2029 Capital Improvements
Program (CIP) from account ST24C08 for the Hyland-Croy Road and Cacchio Lane Traffic Signal
Project, in the amount of $390,000.
Recommendation
Staff recommends Council approve Resolution 04-25 authorizing the City Manager to enter into a
Cost Sharing Agreement with the Dublin City School District for the Hyland-Croy Road and Cacchio
Lane Traffic Signal Project.

COST SHARING AGREEMENT
BETWEEN THE CITY OF DUBLIN AND DUBLIN CITY SCHOOLS FOR THE
CONSTRUCTION OF THE HYLAND-CROY AND CACCHIO LANE TRAFFIC SIGNAL
This Cost Sharing Agreement (the “Agreement”) is entered into as of this ___ day of _____, 2024 (the
“Effective Date”), by and between the City of Dublin, Ohio, an Ohio municipal corporation (the
“City”), whose mailing address is 5555 Perimeter Drive, Dublin, Ohio 43017 and Dublin City School
District Board of Education, an Ohio public school district (“DCSD”), whose mailing address is 5175
Emerald Parkway, Dublin, Ohio 43017. The City or DCSD may be referred to herein as “Party” or
collectively as “Parties.”
RECITALS
· WHEREAS, DCSD is currently constructing the Dublin Elementary XV at 6855 Cacchio
Lane, which will include both Private Site Improvement Plans and Public Improvement Plans
as identified on the development’s Traffic Impact Study (TIS).
· WHEREAS, DCSD and the City desire to work cooperatively to help facilitate the
installation of a traffic signal at the Hyland-Croy Road and Cacchio Lane intersection
(“Project”) identified in the TIS.
· WHEREAS, the City will design construction plans for the Project. The City is willing to
construct the Project, so long as DCSD reimburses City for 50% of the design costs and 50%
of the construction costs for the Project.
· WHEREAS, the City shall bid and award the construction contract for the Project per the
City’s statutory process to the lowest and best bidder.
· WHEREAS, the City has estimated the design costs for the Project to be $61,300.00.
· WHEREAS, the City has estimated the construction costs for the Project to be $540,000.00.
· WHEREAS, DCSD shall be responsible for 50% of both the design costs and construction
costs for the Project, which amount to an estimate of $300,650.00 (“DCSD Estimated
Costs”).
· WHEREAS, DCSD and the City acknowledge that they are responsible for the work and
costs as outlined above as shown in the attached Exhibit A.
· WHEREAS, the Parties hereto desire to set forth the terms upon which DCSD will reimburse
the City for the DCSD Estimated Costs.
Statement of Agreement
The Parties hereto acknowledge the accuracy of the above background information, incorporate the
background information herein, and agree as follows:

1. Incorporation. The foregoing Recitals are incorporated herein by this reference and made a part
of this Agreement as if more fully set forth herein.
2. The Project. The City and DCSD shall proceed with the Project pursuant to the plans and
specifications for the Traffic Improvements, pursuant to the plans and specifications set forth in
Exhibit A. Construction is anticipated to begin in summer 2025 and be completed by early 2026.
3. DCSD shall pay the City the DCSD Estimated Costs within 30 days of the execution of this
Agreement[JM1]. At the conclusion of the Project, the City shall provide DCSD with copies of all
invoices of the work performed to complete the Project as well as a calculation of the actual cost
of the Project (“Actual Project Cost”) and DCSD’s share of the Actual Project Cost (“DCSD
Actual Costs”). If the DCSD Actual Costs are more than the DCSD Estimated Costs, then DCSD
will pay to the City an amount equal to the difference between the DCSD Actual Costs and the
DCSD Estimated Costs within 30 days of receipt of the calculation of the DCSD Actual Costs
and copies of the invoices. If DCSD Actual Costs are less than the DCSD Estimated Costs, then
the City will pay to DCSD an amount equal to the difference between the DCSD Actual Costs
and the DCSD Estimated Costs concurrent with the delivery to DCSD of the calculation of the
DCSD Actual Costs and copies of the invoice.
4. Notice. All notices given under this Agreement shall be in writing and delivered by (a) the
United States Postal Service, certified mail, return receipt requested, postage prepaid; (b)
personal delivery; or (c) a nationally recognized overnight air courier service; in each case sent,
delivered, or emailed to the Parties as listed below. Each notice shall be deemed given upon the
date received or upon first refusal of delivery. The lawyer for any Party is entitled to give notice
under the terms hereof. Any Party may change at any time its notice address by delivering a
change of address notice using the foregoing notice procedures.

5. Supervision of Contactors. The City shall supervise the Contractor to ensure the Traffic
Improvements and other work associated with the Project are performed in a workmanlike
manner.
6. Contractor Warranties. The City shall be responsible for obtaining any warranties with its
Contractors for the Traffic Improvements and the Project.
7. Title to the Project Facilities. Upon completion of the Project, the City shall be the owner of the
facilities installed pursuant to this Agreement. It will be the City’s responsibility to ensure that
any and all Contractors release any and all liens associated with the Project.
8. Relationship to Parties. Nothing contained herein shall be deemed or construed by the Parties or
by any third party as creating the relationship of principal and agent, of partnership or of joint
venture between the Parties.
9. Waiver. Except to the extent that a Party may have otherwise agreed in writing, no waiver by
such Party of any breach of the other Party of any of its obligations, agreements or covenants
hereunder shall be deemed to be a waiver of any subsequent breach of the same or of any other
covenants, agreements or obligations, nor shall any forbearance by a Party to seek a remedy for
any breach by the other Party be deemed a waiver of any rights or remedies with respect to such
breach or any similar breach in the future.
10. Severability. In the event any provision of this Agreement shall be held invalid or unenforceable
by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable
any other provision hereof.
11. Captions and Pronoun Usage. The captions and section numbers in this Agreement are for
convenience only and shall not be deemed to be a part hereof. The pronouns used herein shall be
considered as meaning the person, number and gender appropriate under the circumstances at any
given time.
12. Modification. This Agreement may not be amended, terminated, rescinded or otherwise
modified, in whole or in part, except by a written instrument executed by the Parties hereto.
13. Authority. The Parties represent and warrant that they are authorized and permitted to enter into
this Agreement and to perform each of their respective covenants and obligations hereunder. All
Parties signing this Agreement have taken all duly authorized action necessary to authorize the
execution of this Agreement and to execute any and all documents related hereto, and each of the
Parties may rely upon this section of the Agreement without the necessity of having further
documentation to evidence such authority.

14. Jurisdiction. This Agreement shall be governed by the laws of Ohio. Any disputes arising herein
shall be adjudicated at the Court of Common Pleas of Franklin County, Ohio.
