Form No. 30045 84-17 Resolution No. Passed A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT WITH METRO DATA CENTER FOR THE DUBLIN ENTREPRENEURIAL CENTER AT 565 METRO PLACE SOUTH 20 WHEREAS, the Dublin Entrepreneurial Center CDEC"� is currently located in Suites 300, 190 and 180 on the third and first floors of 565 Metro Place South; and WHEREAS, Metro Data Center CMDC'7 holds the master lease covering the DEC suites; and WHEREAS, Economic Development staff has spent several months evaluating the DEC tenants, programs, offices and training spaces; and WHEREAS, as a result of these investigations, Economic Development staff recommends an extension of the City's contribution to MDC for the DEC suites at 565 Metro Place South; and WHEREAS, the proposed Agreement with MDC carries a one-year term of January 1, 2018 through December 31, 2018. NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Dublin, State of Ohio,_ of the elected members concurring, that: Section 1. The City Manager is hereby authorized to enter into an Agreement with MDC in substantially the same form as the attached Exhibit A. Section 2. McDaniel, City Mana Date: November 16, 2017 ke: Resolution 84-17 — Authorizing an Agreement with Metro Data Center for the - Dublin Entrepreneurial Center at 565 Metro Place South In late 2012, triggered by the building purchase by Ohio University, City Council authorized the Dublin Entrepreneurial Center (DEC) relocation from 7003 Post Road to the third floor at 565 Metro Place South. In 2015, the DEC expanded onto the first floor, adding more offices, cubicles and training spaces. Today, the DEC covers 19,425 square feet at Metro Center, Staff has been working on a space renewal agreement with Metro Data Center (MDC), which holds the long-term master lease over the current DEC spaces. The proposed renewal agreements (attached) for the first and third floor spaces, respectively, outline a total City contribution of $270,000 per year for one year (2018) to MDC. This cost per square foot breaks down to a City contribution of $13.90/SF,, and assists in keeping 85+ offices rentable at under -market value by essentially covering the lease expenses for the public common spaces including the lobbies, five meeting rooms, the DEC Caf6, two large training rooms, and other open spaces within the suites. This renewal of a financial contribution represents no increase over the 2017 commitment. Staff recommends approval of Resolution 84-17 as it supports Council's goals relative to creating new businesses and jobs and promoting new partnerships and possibilities. Please contact Colleen Gilger with any questions, RESOLUTION 84-17 DUBLIN ENTREPRENEURIAL CENTER SPACE AGREEMENT— FIRST FLOOR THAT Metro Data Center, LLC (Lessor) HEREBY LEASES TO The City of Dublin Ohio (Lessee) Premises commonly referred to as: See Exhibit "A" (Premises) For the term of: One Year, 1/l/2018-12/31/2018 Commencing: January 1, 2018 A. Use and Occupancy: Said Premises are to be used and occupied for General Office purposes. Lessor and Lessee agree that the Premises shall be provided and operated as further enumerated in Exhibit A. Lessee agrees to pay said rent in the manner set forth below; to use and occupy said Premises in a safe and careful manner and not to commit or suffer waste therein; not to use said Premises for any unlawful purpose; to make no alterations without written consent of Lessor; to save Lessor harmless by reason of loss or damage to property and/or personal injury to any persons in or about said premises occasioned by negligence of the Lessee and to maintain insurance policies in type and amounts satisfactory to Lessor to accomplish such purpose; to assume sole responsibility for all property of the Lessee used, stored or maintained upon the Premises. B. Rent: Lessee shall pay to Landlord as rent for the Premises commencing on January 1, 2018 and continuing during the Term: • Year 1 $99,126.54 (Monthly Rent Payment of $8,260.55) The Rent shall be paid in twelve (12) monthly installments due on the 5`h of each month in an amount equal to the Monthly Rent Payment as set forth herein. C. Personal Property: All personal property placed in the rented Premises shall be at the risk of the persons owning same, and in no event shall the Lessor be liable for the loss by fire or otherwise to such property of the Lessee. D. Operating Expenses: It is further agreed that the responsibility for utilities, maintenance and operating expenses of the real estate shall be as follows: *Lessee shall be responsible for any repairs and maintenance related to Lessee's use of the premises. Default by Lessee: It is mutually agreed that if said rent or any part thereof be not paid for five (5) days after becoming due and without demand therefor, or if said Lessee shall fail to keep any of the other covenants of this lease, or abandon or vacate the premises, or if proceedings in bankruptcy shall be instituted by or against Lessee, or a receiver or trustee be appointed for his property, it shall be lawful for Lessor to re-enter said Premises, repossess the same as in its first estate and thereupon this lease shall cease and be void all without prejudice to Lessor's remedies at law. F. Master Lease: Lessor and Lessee acknowledge and agree that for purposes of the Lease Agreement between Two Metro Place Partners LLC, as landlord, and Lessor, as tenant, dated November 21, 2011 (the "Master Lease"), that (a) Lessee is not a sublessee or assignee, as those terms are used in the Master Lease, of the Leased Premises (as defined in the Master Lease) or of Lessor's rights under the Master Lease; (b) this Lease shall terminate upon the expiration or the earlier termination of the Master Lease in accordance with its terms without notice to Lessee; provided, however, that Lessor shall provide Lessee with notice if and to the extent that Lessor has prior notice of the termination of the Master Lease; and (c) this Lease is subject and subordinate to the Master Lease, including, without limitation, all Building Rules and Regulations (as defined in the Master Lease) and any and all Superior Interests (as defined in the Master Lease). 2 4144s47v2 RESOLUTION 84-17 ACKNOWLEDGED & AGREED This agreement shall be in full force and effect on this 1st day of January, 2018. Mumma Director of Finance 3 RESOLUTION 84-17 EXHIBIT A Metro Data Center, LLC - Dublin Entrepreneurial Center 565 Metro Place South, First Floor • Premises include 6,753 square feet of training, meeting and office spaces on the first floor of 565 Metro Place South. • Signs: o Signs to include branding of the DEC at the 1' Floor lobby. o Digital Signage will include the Dublin Entrepreneurial Center's branding scheme. • Suite Configuration:: o Space consists of 12 Office Spaces, Shared Services Area, Kitchenette, Small Meeting Room, and Two Large Training Rooms. • Additional First Floor Features: o Lessor's Security System will be enabled within the entire space for additional security features. This will include CCTV monitoring and recording services. o Suite will be engineered with connectivity to the Lessor's Data Center facility, the Dublink Network, the OARnet including Internet2, the GENI network, the OSU Super Computer Networks and all other required networks, including the City of Dublin's 10OGB network. • Metro Data Center Facilities Agreement — The term of MDC's Facilities Agreement with DEC tenants will be 6 months, 12 months, or greater lease periods based on tenant evaluation. MDC agrees to include a termination clause in such Facilities Agreement that permits the tenants to terminate the Facilities Agreement after the completion of the first 6 months, with 60 days written notice. • Lessor will provide administration for, collect, and retain all rent, sponsorship, and other income from tenants of the Premises, in such amounts as mutually agreed upon by Lessor and Lessee. • DEC Tenants will be required to establish a Facilities Agreement with Metro Data Center, LLC. City of Dublin tax account information form also will be a required document. • Any adjustments to the Annual Rate Schedule for office and cubicle leases must be mutually agreed by Metro Data Center, LLC and the City of Dublin. Rental rates will be based upon the fair -market value rates locally to Dublin Ohio. • The rates will be established within the public-private partnership in an effort to further the endeavors of the DEC and to support growth. • Usage rates for meeting spaces may be established if mutually agreed upon by both parties. Hot spot tenants may receive the least access and highest fees for meeting and training room access. • All Facility Agreements and tax account information form between DEC tenants and MDC will be made available to City staff upon agreement execution. • City staff will be a decision maker with MDC staff on tenant acceptance and tenant renewal, to ensure tenants are vetted properly and meet the mission of the DEC. • Additional fees will be assessed for other value added services provided by the Lessor.
